They are currently seeking an Associate Attorney for their digital assets and emerging technologies practice group! Location: New York, NY (Financial District area) Base Salary: $390k-$435k/year based on experience level Why join us? Job Details The ideal candidate will have 2+ years of experience with: Advising public companies, private companies, and private equity firms in domestic and cross-border transactions including public and private M&As, joint ventures, carve-outs, and other general corporate matters Drafting and negotiating term sheets, non-disclosure agreements, main transaction documents, and ancillary agreements in various mergers, acquisitions, and divesture transactions on both acquirer and target sides Drafting proxy statements, registration statements, and SEC filings in connection with initial public offerings, De-SPAC transactions, and SEC filings including 10-Ks, 10-Qs and 8-Ks for public companies Advising clients on business transactions including securities law compliance, directorial duties, and exchange listing requirements Identifying and solving complex legal issues in the area of mergers, acquisitions, initial public offerings, SPACs public and private financings, or spin-offs Drafting legal documents including primary and ancillary transaction documents; reviewing legal documents including organizational documents, shareholder agreements, voting agreements, and material contracts Preparing due diligence reports including coordinating with specialists on respective sections and drafting corporate diligence documents Reviewing due diligence documents, including tracked supplemental requests, and reporting on diligence findings 1.
