Daybright Financial is looking for an experienced highly skilled Senior Paralegal with a strong corporate background for our headquarters in Iselin, New Jersey. This is a salaried, full-time, hybrid position. The Senior Paralegal will support the legal department of Daybright Financial and report to the General Counsel. We are seeking a dynamic and enthusiastic individual who will provide paralegal drive and assistance in a variety of legal and administrative support matters pertaining to corporate governance, contract administration, acquisition administration, and other related legal tasks. The paralegal will also be expected to oversee the management and execution of our contract management system, as well as business state registrations and renewals, licensing protocols, business insurance administration, real estate holdings, dispute and litigation management, and corporate compliance with oversight from the General Counsel. Primary Responsibilities: • Coordinate state filings, including registrations, annual reports, and insurance licensing, for Daybright Financial acquired firms., • Organize and facilitate acquisition diligence request processes., • Maintain corporate records and files., • Support the development, transmission, tracking and filing of contract materials to Partner firms and external customers., • Support intellectual property compliance and maintenance with outside counsel., • Maintain accurate records in our contract management system and monitor for contract expiration, negotiation, and follow through., • Support document preparation for subpoena compliance and litigation., • Evaluate and recommend changes in existing processes to improve efficient operation of programs and contract management., • Maintain and process outside counsel invoices., • Review and edit internal and external contracts., • Maintain real estate portfolio with oversight from General Counsel., • Draft documents with oversight from General Counsel., • Support the General Counsel in day-to-day legal needs of the company., • Support other departments within the National Office as necessary., • Provide legal updates to management team. Qualifications: • Minimum of 5 years of relevant experience with a major public or private corporation required., • Benefits, and/or insurance industry needed., • Corporate governance specific experience a plus., • Experience in acquisition administration., • Understanding of contractual requirements of master services agreements., • Proficiency using virtual data rooms to upload and organize documents., • Proficiency in Microsoft Office Suite., • Excellent written and verbal communication skills., • Self-starter who can work with minimal supervision., • Ability to coordinate complex tasks with multiple stakeholders., • Superb attention to detail as well as organizational and multi-tasking skills., • Demonstrated ability to work in a fast-paced environment with a strong focus on collaboration., • Relevant Bachelor's degree or a paralegal certificate required., • Notary Public needed.
