Job Purpose: The contracts manager oversees the review and the approval of all contractual documents for protection of the company's contractual posture, response to customer requirements and adherence to TD SYNNEX`s policies. Supports the legal affairs of the organization as directed by the Transactional Legal group's management team. Manages legal issues with limited supervision. Responsibilities: • Responsible for providing contractual support for France and EMEA., • Uses sophisticated negotiation skills and influence to direct and control contract negotiations as required to meet established milestones and objectives, • Maintains effective knowledge of company products and service offerings, • Maintains client focus that balances the needs of the business for profitability with ensuring the contractual terms and conditions protect the company and minimize risk, • Supports TD SYNNEX's Legal department systems and tools and actively encourages their use throughout the organization, • Understands the roles and responsibilities of all relevant company employees to draw upon the expertise of others to achieve business objectives, • Provides regular input into the development and maintenance of standard contract templates and pre-approved alternative language, • Play an active role as a member of the global legal services team providing input in the development of policies, participation in project work, and implementing initiatives and directives within the organization., • Advises on legal aspects of TD SYNNEX's transactional business using sound legal and business judgment and experience., • Collaborates or cooperates with local management team, global legal services team, outside legal counsel in various matters., • Participates, occasionally, in cross-regional/global negotiations. Knowledge Skills and Experience: To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. The requirements listed below are representative of the knowledge, skill and/or ability required. • Minimum of 3 - 5 years in the practice of commercial/corporate/contract law, in French and English, required with an emphasis on commercial buy/sell transactions. Preference for in-house experience handling complex contractual review and negotiation matters., • Qualified law degree from certified educational institution (preferably in France) or related degree required. Knowledge of the French mandatory law requirements applying to commercial buy/sell transactions is of essence., • Excellent communication skills. Language requirement: Advanced level of French and English, • Able to work effectively in a multi-tasking environment and to work constructively under stress and pressure., • Able to build solid, effective working relationships with others and to coach others in the development of their skills, • Able to negotiate persuasively and effectively, to conduct in-depth research into applicable laws and judicial decisions and make appropriate recommendations of actions to take., • Strong analytical and problem solving skills., • Able to communicate legal research information clearly and concisely to others., • Able to write clear and logical legal briefs, reports and other documents and to make sound legal decisions., • Able to interact positively and effectively with others at various levels within the organization and outside parties., • Able to identify needs and opportunities and develop action plans to address, • Able to prioritize work-load based upon business needs and goals, • Qualified and admitted to the practice of law in at least one jurisdiction. Such qualification/admission must be in good standing. Working in a highly-matrixed organization, this role requires building relationships and coordinating across multiple departments and regions. This person has a natural interest in technology and stays up to date with emerging legal tech, automation, and data solutions to identify future opportunities for the Legal Department. The role reports directly to the VP, Global Legal Transformation. Responsibilities: • Design, develop, and implement automated workflows using No/Low Code tools (particularly Microsoft Power Platform)., • Configure, maintain, and enhance document automation and legal technology systems., • Integrate and manage data from internal and external sources to support automation and analytics., • Collaborate with legal team members to understand requirements, map processes, and identify opportunities for improvement., • Provide technical support, troubleshooting, and training to users. Contribute to technology and infrastructure improvement projects., • Participate in global transformation projects, supporting delivery, change management, and rollout. Continuously improve projects post-deployment using qualitative and quantitative data., • Engage cross-functionally with global legal teams to drive transformation initiatives. Develop and deploy visualizations and dashboards to aid senior management decision-making., • Assist in advanced data analytics, AI-driven solutions, and product development., • Fulfil operational backlog requests and address technical issues promptly., • Ensure all implemented solutions are effectively handed over to Legal Operations, including documentation, training, and ongoing support processes.
