ROLE: AESC is seeking a Senior Legal Counsel to be a member of the European legal team. AESC is building a new, large-scale battery gigafactory in Spain producing innovative, high-quality and reliable batteries. In this role, you will take the lead in AESC’s Spain legal operations and have the opportunity to support Europe-wide initiatives. You will be a contract negotiator, build and maintain a corporate governance structure, manage internal legal know-how and support the business’s growth initiatives. SCOPE AND RESPONSIBILITIES: • Act as overall legal lead on matters related to AESC’s operations in Spain, as the first dedicated legal team member in Spain., • Report to and support the General Counsel, EMEA on Spain- and, as required, European-wide commercial matters and transactional projects., • Fast-paced transactional experience is highly valuable., • Comfortable with facilitating and negotiating a wide variety of contracts related to building a new gigafactory, examples include: EPC, design-build, equipment supply, construction, service, subcontractor, MPAs, lease, consultancy, IT, Utility and logistics & transportation., • Provide commercially-sound legal advice to key international functional teams (Purchasing, Sales, HR, Finance) in Spain, Europe, China, Japan and US., • Collaborate with global teams to create and maintain a library of contract templates and other legal operations initiatives., • Develop and provide compliance related training programs (trade compliance, data privacy, anti-bribery), manage filings and other corporate secretarial matters for corporate entities in Spain and Europe., • Occasional domestic and overseas travel may be required from time to time., • Manage external counsel cost-effectively. KEY QUALIFICATIONS: • The role is primarily aimed at motivated candidates with mid- to senior-level commercial legal experience gained at a top-tier international or national law firm and/or in-house at a multinational company who relish a challenge in an exciting role in the energy transition sector., • Qualified to practice as a lawyer in Spain., • Fluency in Spanish and English is required. Chinese language skills would be significant advantage., • Automotive or industrial sector (or a related sector) knowledge will be an advantage but is not essential., • Experience with fast-paced transactions and/or handling contracts for any of EPC, design-build, equipment supply, construction, service, subcontractor, MPAs, lease, consultancy, IT, Utility and logistics & transportation will be an advantage., • Comfortable with working on issues related to employment, litigation, regulatory compliance, data privacy, real estate and other commercial areas of law., • In the context of a ‘start-up’ and multi-cultural environment: a commercial (not just legal) mindset; capable of working independently; capacity for problem-solving; sharp attention to quality; a growth mindset to learning about the business and the sector; a strong communicator; and an astute builder of working relationships with relevant stakeholders.
