Sobre la posición: Participarás en operaciones corporate (ampliaciones y reducciones de capital, M&A, pactos de socios, rondas de inversión y gobierno corporativo), así como en la redacción y negociación de contratos mercantiles y tecnológicos, como las funciones detalladas a continuación: 1. Corporate: • Asesoramiento integral en la gestión societaria: juntas generales, consejos y acuerdos entre socios., • Elaboración y formalización de documentación mercantil (actas, certificaciones, poderes, modificaciones estatutarias, etc.)., • Ejecución de operaciones societarias como ampliaciones y reducciones de capital, nombramientos y ceses de administradores o disoluciones de sociedades., • Participación en operaciones corporate y de M&A, desde la planificación hasta el cierre., • Redacción y negociación de documentación clave: pactos de socios, LOI, SPA, SHA, side letters, entre otros., • Participación en procesos de due diligence y coordinación con inversores, clientes y asesores externos. 2. Contratación: • Redacción, revisión y negociación de contratos mercantiles y tecnológicos, incluyendo prestación de servicios, agencia, distribución, licencias de software, SaaS, NDA, DPA, etc., • Adaptación de modelos contractuales a diferentes estructuras y modelos de negocio digitales., • Acompañamiento jurídico continuo a startups y empresas tecnológicas en el diseño y ejecución de sus operaciones. Requisitos: • Grado/Licenciatura en Derecho obtenido en universidad localizada en España., • Experiencia mínima de 4 años en despacho de abogados., • Dominio de derecho societario y contractual., • Capacidad para trabajar con autonomía, precisión y rigor técnico., • Excelente atención al detalle y orientación práctica., • Nivel profesional de inglés. Reportando a la Dirección Técnica, se responsabilizará del control y seguimiento de la correcta prestación de los servicios contratados (mantenimiento, seguridad, limpieza, conserjería, etc.) en los inmuebles que gestione con el objetivo de garantizar la calidad de los mismos, el cumplimiento de la normativa aplicable y el cumplimiento de los procedimientos y directrices que la Dirección Técnica marque. Desarrollar y mantener una estrecha relación con los inquilinos y/o propietarios basándose en la comunicación recíproca, con respuestas ágiles y prácticas a los pedidos de estos (Respuesta 24 horas). Formar a todo el personal asignado en los procedimientos de operación y mantenimiento involucrados dentro de los trabajos programados. Supervisión y organización de las tareas a llevar a cabo del mantenimiento general y las operaciones de la propiedad que incluye Gestión y administración de los listados e inventarios de los programas de control y sistemas, asegurando recursos de tiempo y personal para sus operaciones y frecuencias asignadas. Cumplimiento de que las operaciones sean efectivas y el programa de mantenimiento dentro del área de su responsabilidad es efectivo.
