Job DescriptionTransactional Attorney Transactional Attorney - New York, NY (Manhattan) A well-respected Manhattan law firm is seeking a Transactional Attorney to join its growing corporate and business practice. The firm represents a diverse range of clients, including emerging companies, established businesses, entrepreneurs, and institutions. This role offers the opportunity to work on sophisticated commercial transactions, corporate governance matters, and contract drafting within a collaborative team environment. Salary & Benefits • Competitive base salary range of $180,000 - $220,000, depending on experience, • Comprehensive health, dental, and vision insurance, • 401(k) plan with employer contribution, • Paid vacation, sick leave, and holidays, • Professional development and CLE support, • Juris Doctor (JD) from an accredited law school, • Admission to the New York Bar, • 3+ years of transactional experience, preferably in corporate, commercial, or business law, • Strong experience drafting and negotiating commercial contracts, corporate governance documents, and business agreements, • Familiarity with entity formation, operating agreements, M&A work, and regulatory compliance matters, • Excellent legal research, writing, and analytical skills, • Strong communication skills and the ability to manage multiple matters independently, • Draft, review, and negotiate commercial contracts, including service agreements, partnership agreements, NDAs, and licensing documents, • Advise clients on corporate governance, compliance, and entity formation, • Assist with mergers, acquisitions, restructurings, and other business transactions, • Conduct legal research and prepare memoranda as needed, • Manage transactional matters from initial consultation through closing, • Collaborate with internal teams to support client objectives and ensure seamless execution of deals, • Maintain strong client relationships and provide ongoing strategic legal guidance - For this position, you must be currently authorized to work in the United States without the need for sponsorship for a non-immigrant visa.
