Job DescriptionSalary: We are looking for Legal & Compliance Manager responsible for all legal and compliance affairs of three Mexican legal entities (Sales Company, Monterrey Factory, Tijuana Factory). Independently handle daily legal matters, lead the development and implementation of compliance management systems across all business lines. Role and Responsibilities: 1. Legal Management • Contract Management: Review contracts for all entities, maintain template library, participate in significant contract negotiations, investment & M&A negotiations, maintain contract management systems and ledgers, track contract performance risks., • Legal Support: Provide analysis and answers on legal consultations and hot issues from business departments; provide legal opinions on significant company decisions; cooperate with HQ on IP management., • Litigation & Dispute Resolution: Handle litigation, arbitration, government investigations and non-litigation disputes; support HQ with IP litigation and non-litigation dispute resolution., • External Counsel Management: Coordinate with external lawyers and establish resource database; review fees and evaluate cost-effectiveness of external counsel. 2. Compliance Management • Compliance Management System: Lead the development of company's overall compliance management organizational system, policies and compliance review processes., • Compliance Assessment: Proactively conduct individual compliance risk assessments based on business conditions; conduct annual compliance obligation and risk assessments per HQ requirements; complete remediation for identified risks., • Compliance Incident Response: Report and respond to compliance risk incidents, inquiries, investigations and litigation; avoid serious adverse outcomes., • Specialized Compliance Areas: Responsible for corporate governance, data & privacy, employment compliance, anti-corruption, anti-monopoly, and anti-unfair competition compliance management., • Compliance Training: Conduct company-wide compliance training. 3. Cross-Functional Collaboration • Internal: Close collaboration with Finance, HR, Supply Chain, Sales, and Factory Operations teams to provide legal and compliance support; report to Regional Legal & Compliance team, HQ Compliance Center, and Group Legal Department., • External: Engage with government regulators; manage external law firms and compliance consultants. 4. Project Tasks • Build and implement Compliance Program., • IMMEX (Maquiladora) compliance management and annual audits., • Build data compliance system (LFPDPPP implementation)., • Major business cooperation projects and strategic transaction legal support., • Leading cross-functional compliance training and culture building. 5. Knowledge Sharing • Regularly publish legal and regulatory updates briefing., • Develop contract template library and compliance policy manual., • Build dispute case database, drive process improvement. Required Qualifications: • Bachelor's degree or above., • 5+ years of legal and compliance work experience, at least 3 years in manufacturing/MNC/law firm in comprehensive legal compliance management; experience working in Chinese companies in Mexico preferred., • Familiar with legal compliance requirements in factory operations, sales, and other business scenarios., • Familiar with compliance management, master Mexico federal, Baja California, and Nuevo Len laws including corporate law, labor law, data protection, anti-monopoly, and anti-unfair competition laws., • Practical experience in dispute resolution and litigation management., • Experience managing external counsel., • Solid contract drafting, review and negotiation skills., • Experience independently building/optimizing compliance systems preferred., • No direct report management experience required, but must have cross-functional coordination and leadership skills lawyer's license is preferred., • Priority will be given to those who have obtained compliance related certifications and qualifications., • Communication experience with regulatory agencies such as data protection, labor, and anti-unfair competition.
