Contract Attorney – Restructuring and Liability Management Location: New York City, New York Employment Type: Contract Practice Areas: Restructuring, Bankruptcy, Liability Management, Capital Markets, and M&A Position Overview Our client is seeking an experienced transactional attorney to support its Capital Structure Advisory and Fixed Income team on complex restructuring, bankruptcy, liability management, and capital markets matters. This contract attorney will work on sophisticated transactions involving distressed companies, capital structure solutions, securities offerings, financing arrangements, and strategic transactions. The ideal candidate will have experience at a national law firm or comparable legal practice and be comfortable managing multiple complex matters in a fast-paced, deadline-driven environment. This position requires excellent drafting and negotiation skills, strong legal judgment, attention to detail, and the ability to provide practical advice on legal, regulatory, and reputational considerations. Key Responsibilities • Draft, review, and negotiate engagement letters, offering documents, tender documents, transaction agreements, and related legal materials., • Support restructuring, bankruptcy, liability management, capital markets, financing, securities, and M&A transactions., • Assist with Chapter 11 matters, including:, • Retention applications, • Reorganization plans, • Debtor-in-possession financing orders, • Bidding procedures, • Asset purchase agreements, • Related court filings and transaction documents, • Conduct legal research and provide analysis on complex securities, financing, restructuring, and corporate law matters., • Evaluate legal, regulatory, transactional, and reputational risks and communicate findings to senior attorneys and business stakeholders., • Review transaction structures, supporting documentation, disclosure materials, and proposed agreements for accuracy, completeness, and compliance., • Coordinate with internal teams, outside counsel, clients, financial advisors, and other transaction participants., • Track deliverables, deadlines, approvals, and closing requirements across multiple concurrent matters., • Assist with negotiations and help develop practical solutions to complex legal and business issues., • Maintain high standards for confidentiality, professionalism, accuracy, and responsiveness. Required Qualifications • Juris Doctor degree from an accredited law school., • Active bar admission in at least one U.S. jurisdiction., • Significant experience in transactional law, restructuring, bankruptcy, liability management, or related practice areas., • Strong understanding of capital markets, securities, financing, restructuring, and corporate transactions., • Exceptional legal drafting, contract review, and negotiation skills., • Ability to conduct detailed legal research and translate complex issues into clear, practical guidance., • Strong written and verbal communication skills., • Excellent judgment, organization, prioritization, and attention to detail., • Ability to work independently while collaborating effectively with attorneys, clients, and cross-functional teams. Preferred Qualifications • Ten or more years of relevant legal experience., • Experience working at a national law firm, leading financial institution, investment bank, advisory firm, or comparable legal environment., • Direct experience supporting Chapter 11 proceedings and distressed company transactions., • Familiarity with retention applications, DIP financing, bidding procedures, plans of reorganization, asset purchase agreements, tender offers, and liability management transactions., • Experience drafting and negotiating engagement letters, offering documents, transaction agreements, and other sophisticated legal documentation., • Experience advising clients or business teams on legal, regulatory, and reputational risk., • Ability to manage high-priority matters under tight deadlines and changing business conditions. Pay Range: $135 - $175/HR for NYC candidates with 10 plus years of relevant experience The specific compensation for this position will be determined by a number of factors, including the scope, complexity and location of the role as well as the cost of labor in the market; the skills, education, training, credentials and experience of the candidate; and other conditions of employment.
