Job Description Job Description • Serve as a key mid-level team member on mergers and acquisitions transactions, from LOI/term sheets through closing and post-closing matters., • Draft, review, and negotiate purchase agreements, merger agreements, disclosure schedules, ancillary documents, and corporate governance materials., • Support private equity and strategic buyers and sellers on add-on acquisitions, carve-outs, and other complex transactions., • Handle general corporate and commercial matters, including entity formation, operating agreements, shareholder agreements, and routine corporate housekeeping., • Coordinate and lead due diligence efforts, synthesize findings, and help develop practical risk-mitigation and deal-structuring solutions., • Work closely with partners and clients to manage deal timelines, communicate issues, and keep transactions moving efficiently to closing., • JD from an accredited law school with strong academic credentials., • 3+ years of corporate transactional experience at a law firm; prior experience as a mid-level corporate/M&A associate strongly preferred., • Significant experience working on M&A deals (buy-side and/or sell-side), including drafting core deal documents., • Solid grounding in general corporate law, entity structures, and governance., • Strong drafting, negotiation, and analytical skills, with excellent attention to detail and judgment., • Admission to at least one U.S. state bar; ability to work from Stamford, CT on a regular basis., • Team-oriented mindset, business acumen, and comfort working directly with sophisticated clients.
