HYBRID Are you an experienced technology transactions attorney eager to work on sophisticated IP and commercial agreements for cutting-edge clients in the life sciences and technology sectors? Our client, a prominent Amlaw 50 firm, is seeking a driven Technology Transactions Associate Attorney to join its dynamic IP Transactions Practice. The ideal candidate would be based in Boston, San Francisco, New York, or Washington, DC, however, candidates in other locations will be considered. This role offers an exciting opportunity to advise innovative companies—from early-stage ventures to global leaders—on structuring, negotiating, and executing high-impact deals that shape their intellectual property and business strategies. Candidate Profile • JD from a top-tier law school with an excellent academic record, • Active Bar Admission in the applicable jurisdiction, in good standing, • 3 years of substantive experience in intellectual property transactions, with a focus on life sciences, • Demonstrated experience drafting, reviewing, and negotiating complex collaboration, licensing, and partnering agreements, • Familiarity with foundational life sciences agreements, including university licenses, clinical trial agreements, and material transfer agreements, • Interest in expanding practice to technology transactions work in areas such as AI, fintech, renewable energy, cybersecurity, and other emerging technologies, as well as healthcare-related transactions in the emerging company/venture capital space, • Excellent research, analytical, drafting, and communication skills, • Ability to thrive in a fast-paced environment while maintaining meticulous attention to detail, • Commitment to professional excellence and a collaborative team mindset Key Responsibilities • Draft, review, and negotiate collaboration, partnering, and licensing agreements for clients in life sciences and other technology-driven sectors, • Prepare and negotiate foundational agreements, including university licenses, clinical trial agreements, and material transfer agreements, • Advise clients on corporate partnerships, strategic alliances, licensing arrangements, and commercialization strategies for products and technologies, • Assist in developing and implementing intellectual property strategies for clients in the life sciences, healthcare, and general technology sectors, • Support IP and technology-related aspects of venture capital financings, public offerings, and M&A transactions, • Conduct research and analysis on diverse technologies, including biotechnology, pharmaceuticals, medical devices, digital health, fintech, AI, IT, edtech, renewable energy, AR/VR, and cybersecurity, • Collaborate closely with attorneys across practices to provide integrated and strategic client support Why Join Us?
