Job Description Hochheiser & Akmal PLLC, a corporate boutique law firm based in Garden City, New York, is seeking a mid‐level associate (approximately 4–6 years of experience) to join its Corporate Department. Our practice focuses on M&A, commercial transactions, data privacy and security, regulatory matters, and corporate governance for closely held and middle‐market businesses, as well as national and multinational companies. This position offers sophisticated transactional work in a suburban Long Island setting with a hybrid schedule. Our culture is business‐focused and collaborative: we work closely with clients’ leadership teams, aim to give associates meaningful responsibility, and emphasize practical, deal‐oriented problem solving. Hybrid work model and hours Attorneys currently work remotely on Monday, Tuesday, and Friday, and are in‐office on Wednesday and Thursday. This schedule is subject to client and practice needs but reflects our default hybrid model. Work is deal‐driven and can be demanding at peak times, but we strive for reasonable, sustainable hours and clear expectations around deadlines and responsiveness. Responsibilities • Take lead responsibility for key workstreams on M&A and other corporate transactions, including drafting and revising purchase agreements, operating and shareholders’ agreements, and ancillary documents., • Handle commercial contracts, including services, licensing, supply, and other strategic agreements, with a focus on practical risk allocation., • Advise on data privacy and security issues in corporate and commercial matters, including diligence on data practices, contract terms, and regulatory considerations., • Counsel closely held businesses on corporate governance, shareholder/member relations, and general corporate matters., • Manage and coordinate due diligence, closing checklists, and post‐closing deliverables., • Communicate directly with clients, opposing counsel, and other deal professionals, and prepare clear client communications and internal memoranda., • 4–6 years of corporate/transactional experience at a law firm, with substantial exposure to M&A and general corporate or commercial transactions., • Experience (or strong interest) in data privacy and security issues in transactions and commercial contracts; regulatory or compliance experience is a plus., • Proven strong legal research, writing, and analytical skills, with the ability to interpret, analyze, and communicate complex legal and regulatory issues in a practical, business‐oriented way., • Demonstrated experience drafting and negotiating corporate and commercial agreements with increasing independence., • Strong attention to detail and organizational skills, with the ability to manage multiple matters and deadlines., • Comfortable working both independently and collaboratively, taking ownership of tasks while contributing to broader team and firm goals., • Admission to the New York Bar required; additional admissions are a plus., • 4–6 years of relevant corporate/transactional experience; candidates slightly outside this range with directly relevant experience will also be considered., • Strong academic background; journal, clinic, or other significant writing or transactional experience preferred., • Strong computer abilities, including Microsoft Word, Outlook, PowerPoint, and Excel.
