Summary The Legal Counsel position will support the organization with a wide range of legal and compliance matters. This role will assist drafting and negotiating a variety of commercial contracts, provide strategic legal guidance, assist with insurance and claims matters, assist with litigation matters, and partner with internal teams to ensure compliance with regulatory requirements. There will also be opportunities to work on corporate governance, labor and employment matters, and assist with M&A. The ideal candidate will have litigation experience and will ideally have familiarity with the construction, transportation, and/or industrial services industries. Essential Duties and Responsibilities: • The primary duties of this role will be to draft, review, and negotiate contracts with customers, vendors, and suppliers. Works with appropriate sales personnel to eliminate or minimize non-standard contractual terms and conditions. Contracts include NDA’s, Master Services Agreements (MSA’s), Subcontracts, Purchase Orders, Rental Agreements, Warehousing Agreements, and various Vendor Agreements., • Possess understanding of insurance coverages and works with personnel from Company’s insurance broker including assisting with the insurance renewal process and with the company’s Insurance and Risk Manager on various insurance claims., • Assist with managing litigation and employment matters and coordinate with outside counsel., • Assist and support internal collections teams by reviewing collections issues and managing related litigation efforts., • Continue to refine existing design contract and subcontracting templates, such as subcontracts, service orders, material contracts, purchase orders, and lien releases, for future use., • Juris Doctor (JD) from an accredited law school., • Active member in good standing with the Oregon State Bar., • 3-5+ years of legal experience (prior in-house experience preferred)., • Strong knowledge of contract law and litigation management., • Proficiency in Microsoft Office Suite (Word, Excel, Outlook, PowerPoint); experience with CLM systems preferred., • Ability to multi-task and prioritize work to meet important deadlines., • Excellent organizational, communication, and interpersonal skills., • Health insurance, • 401(k) matching, • Vision insurance, • Dental insurance, • Life insurance, • Disability insurance, • Paid holidays, • PTO/Vacation/Sick
