Job Details The ideal candidate will have a strong interest in intellectual property, various forms of media production and exploitation, start-up ventures, corporate organization and restructuring, and employment matters. Responsibilities: • Structure and negotiate a wide variety of domestic and international media and entertainment-related agreements including capsule ventures, IP licensing agreements, recording contracts, development, production, financing and distribution deals, talent agreements, releases, management agreements, partnership deals, services agreements, consulting agreements, network deals, promotion agreements and option agreements, • Structure, negotiate, document, and manage various transactions, • Provide strategic business and legal advice to clients on general legal matters, • Advise clients on legal rights, contractual responsibilities, and other matters arising out of various agreements, • Advise on changes in the law with respect to restrictive covenants as they relate to employment, • Establish and maintain key stakeholder relationships with regular, effective and timely communications concerning deal negotiation and business strategy, • J.D. with strong academic performance and membership in good standing with the New York bar (CA bar also desired)!, • 4+ years of transactional experience working in a corporate or entertainment law firm, or in-house experience with a media company’s legal affairs department, • Experience with intellectual property rights and exploitation, risk mitigation, contract drafting. corporate governance, financing, indemnification, • Expertise with respect to corporate formation and start-up activities, contract review, negotiations, and intellectual property law Interested in hearing more? Job Description A distinguished international law firm seeks an experienced Conflicts Attorney to be based in New York. At least three (3) years of related work experience and J.D. are required. This position reports to the Director of Conflicts and works with a team of six. The Conflicts Attorney identifies, analyzes, and resolves potential conflicts of interest related to the Firm's new business intake and lateral hiring for all Firm offices. This position ensures new matters and attorney hires are compliant with the Firm's conflicts and risk management policies and procedures. The Conflicts Attorney works with a team under minimal supervision and relies on experience and judgment to plan and accomplish goals. Essential Functions and Responsibilities • Review and analyze conflict reports, identify potential conflicts of interest, and assist Firm attorneys to resolve issues in a timely manner for all new client and new business, • Conduct conflict analysis on new lateral hires, providing concise summaries of potential conflict issues and steps required for resolution for new lateral hires, • Draft clear and concise conflict waivers to resolve identified conflict issues, and ensure waivers are obtained before new client/matters are opened, which address identified conflict issue, • Participate in the Review, and where necessary drafting of, engagement letters, • Review outside counsel guidelines to ensure Firm-wide compliance and identify differences from Firm's engagement policies, working with Firm's Attorneys and Firm's General Counsel to address any differences, • Assist with the preparation of audit letters, • Perform conflict searches as a back up to conflict analysts and as neededPosition Requirements, • Juris Doctorate (JD), • Preferably Licensed in CA, IL, DC or NY, • At least three (3) years of related work experience, • Ability to work with and take direction from supervisors, • Ability to supervise work of Conflict Analysts and train them, as necessary as to workflow, procedure and conflict process, • Knowledge of conflict of interest databases (Intapp Open preferably), • Experience with iManage or other document management/retention software, • Experience with the Aderant accounting system helpful, • Familiarity with legal research tools and databases, including Capital IQ, • Strong written and verbal communication skills, • Strong organizational and analytical skills, • Ability to work under tight deadlines and prioritize responsibilities, • Proven ability to handle and maintain confidential information, • Able to learn new concepts and skills quickly
