Job Description Corporate Paralegal (Hybrid Schedule; Work in Roseland, NJ or NYC) Salary: $100,000–$120,000 + comprehensive benefits Join a high‐performing corporate team supporting complex transactional work across M&A, private equity, venture capital, securities, and general corporate governance. This role is perfect for a detail‐driven paralegal who thrives in fast‐moving environments and enjoys being a key player in sophisticated deals. What You’ll Do Transactional Support • Manage complex capitalization tables and equity records using platforms like Carta, Pulley, AngelList, and ShareWorks., • Draft and file corporate documents (formations, amendments, mergers, dissolutions)., • Conduct due diligence and summarize contracts and corporate records., • Prepare initial drafts of closing documents, resolutions, and certificates., • Maintain closing checklists and coordinate signatures and closing binders (e.g., Litera)., • Assist with HSR, FINRA, SEC, and Blue Sky filings (Forms S‐1, 10‐K, 10‐Q, 8‐K, etc.). Corporate Governance • Maintain corporate books, minute books, and governance records., • Draft minutes, consents, and resolutions., • Track officer/director information and manage statutory filings, UCCs, and compliance tasks., • Oversee LLC and corporate record maintenance, including equity grants and governance documents. Securities & Compliance • Prepare and track securities documents, including option grants, RSAs, and warrants., • Coordinate regulatory filings and reporting deadlines for private and public companies., • Support private placements and investor documentation. Research & Administrative Support • Conduct legal research using Westlaw/Lexis., • Order and summarize lien searches., • Track key deadlines and ensure timely filings., • Obtain certified copies, good standings, and other corporate documents. What You Bring • Bachelor’s degree required; paralegal certificate preferred., • 3–5+ years of corporate paralegal experience (ECVC, M&A, private equity, securities)., • Strong communication skills and impeccable attention to detail., • Proficiency with Microsoft Office, iManage, DocuSign, and deal‐management tools., • Familiarity with Blue Sky compliance, UCC filings, and SEC reporting., • Ability to train peers and share best practices., • High level of discretion, initiative, and client‐service orientation., • Ability to manage multiple priorities and work extended hours during closings.
