Job DescriptionCorporate Associate Attorney – Private Equity / Investment Management & FundsLocations Boca Raton, Boston, Greenwich, Hartford, Miami, New Haven, New Jersey, New York, Providence, Stamford, Washington, DC, West Hartford, West Palm Beach Direct Counsel is seeking a Corporate Associate Attorney to join the Private Equity, Investment Management, and Funds team of a sophisticated East Coast–based law firm. This is an exceptional opportunity for a 3–6 year associate with strong investment management and private funds experience to join a growing transactional platform. The role offers exposure to sophisticated private fund formation, investment adviser regulatory matters, family office representation, institutional investor work, and strategic corporate transactions. Position Overview The ideal candidate will have 3–6 years of demonstrated investment management and private fund formation experience, including significant work advising investment advisers, fund sponsors, family offices, and institutional investors. This role is ideal for an attorney with sophisticated experience in: • Open-end and closed-end private fund formation, • Investment adviser regulatory compliance, • Family office and institutional investor representation, • Strategic joint ventures, • Private equity and venture capital financings, • Mergers and acquisitions, • Advise on private fund formation, including open-end and closed-end structures, • Counsel investment managers on regulatory compliance obligations, • Draft and negotiate:, • Private placement memoranda (PPMs), • Investment management agreements, • Sub-advisory agreements, • Limited partnership agreements, • LLC operating agreements, • Subscription agreements, • Side letters, • Marketing materials, • Represent family offices and institutional investors, • Support private equity and venture capital financings, • Assist with strategic joint ventures, • Handle M&A and general corporate transactions, • Provide practical advice on evolving investment management issuesQualifications, • J.D. from an accredited law school, • 3–6 years of investment management and private fund formation experience, • Strong experience with:, • Private fund formation, • Investment adviser regulatory matters, • Fund documentation, • Investor negotiations, • Family office representation, • Excellent drafting, technical, and client service skills, • Strong written and verbal communication abilities, • Demonstrated ability to work proactively and independently, • Creative problem-solving skills and strong commercial judgment Compensation will vary based on office location, experience, qualifications, and overall fit.
