As part of Lockton’s Transactional Risks team, you’ll work on some of the most exciting deals in the market—supporting private equity firms, law firms, and investment houses as they navigate complex transactions. The core of your role will involve structuring tailored insurance solutions—primarily Warranty & Indemnity (W&I) Insurance)—to protect buyers and sellers in M&A deals. Unlike traditional insurance roles, there are no renewals, no portfolios; Every deal is different, and every placement is one-of-a-kind. You’ll be fully immersed in live transactions from day one, gaining exposure to high-value deals and top-tier clients. The Role As an M&A Associate, you will play a critical role in delivering high-quality transaction support to our private equity and corporate clients. Working closely with senior deal advisers and sector specialists, you will: • Contribute to buy-side and sell-side insurance due diligence across multiple sectors, evaluating risk exposures, reviewing documentation and synthesising findings into clear, commercially focused reports., • Manage data rooms, document reviews, and information requests to ensure a seamless diligence process for clients and counterparties., • Draft and support the negotiation of key documents, presentations, and internal/external reports with accuracy, structure, and attention to detail., • Coordinate internal stakeholders, insurers, and legal counsel to progress workstreams within defined timeframes., • Take ownership of discrete deal tasks, proactively identifying risks, issues, and opportunities for client value creation., • Support the placement and execution of M&A-related insurance solutions, including W&I insurance, tax liability insurance and contingent risk products., • Assist in the preparation of deal analytics, client deliverables, and pitch materials., • Help maintain strong client and advisor relationships and contribute to internal practice development. The ideal candidate will demonstrate: Technical & Transactional Aptitude • Prior experience in legal, corporate, commercial real estate, or related transactional environments where you have worked with contracts, due diligence, document management, or multi-party negotiations., • Exposure to M&A, corporate transactions, private equity, or complex deal processes (e.g., through workshops, project work, training or professional experience)., • Strong drafting, reviewing, and analytical skills with the ability to identify risks and synthesise complex information. Project & Stakeholder Management • Proven ability to manage multiple concurrent workstreams, competing deadlines and detailed documentation with precision., • Experience coordinating with internal and external stakeholders, including solicitors, clients, and advisers., • High standards of organisation, accuracy, and accountability. Commercial & Communication Skills • Clear, concise communication with the ability to translate technical findings into commercial insights., • Confidence in negotiating, taking initiative, and progressing your own workload in a professional services environment., • Strong research capability and willingness to develop subject-matter expertise in M&A risk and insurance. Qualifications • Strong academic background, ideally in law, business, finance, or a related discipline., • LPC, MSc, LLB, or other professional training highly advantageous., • Competence with Microsoft Office and data room platforms; prior experience with legal-tech or research tools is beneficial.
