Comprehensive benefits: health, dental, vision, 401(k) Job Details Job Details: Our esteemed organization is seeking a dynamic, experienced, and detail-oriented Corporate Attorney to join our Legal Department. This is a unique opportunity for a talented professional to provide expert legal advice on a wide range of corporate matters, including securities compliance, contract drafting & negotiation, due diligence, venture capital financing, and private equity. The successful candidate will be responsible for ensuring the legality of our business practices and working alongside the executive team to strategize and implement company policies. This role requires a minimum of 3 years of experience in a similar role or equivalent. 1850 Billable hour requirement. Responsibilities: 1. Provide expert and strategic legal advice to management on a broad range of corporate legal matters., 2. Set internal governance policies and manage the impact of external factors., 3. Draft, negotiate, and execute agreements and contracts on behalf of the company., 4. Ensure the company's legality and compliance with all applicable rules and regulations., 5. Perform due diligence for business transactions and advise on legal rights and duties., 6. Deal with complex, significant matters that cut across legal and related areas., 7. Evaluate and weigh multiple inputs and impacts of any decision or course of action., 8. Anticipate issues and estimate risks strategically., 9. Structure, draft and review reports and other legal documents., 10. Guide management on financial and tax strategies, venture capital, and private equity., 11. Develop company policy and position on legal issues. Qualifications: 1. A Juris Doctor (JD) degree from an accredited law school., 2. A minimum of 3 years of experience as a licensed attorney with a focus on corporate law., 3. In-depth understanding of how legal issues affect organizations., 4. Ability to develop legal strategy and objectives., 5. Well-versed in how business operate with financial acumen., 6. High degree of professional ethics, integrity and gravitas., 7. Excellent judgement and analytical skills., 8. First class interpersonal and communication skills., 9. Ability to anticipate legal issues or risks and to "see around the corner"., 10. Extensive knowledge in securities compliance, contract drafting & negotiation, due diligence, venture capital financing, and private equity., 11. Admitted to NY state bar.
