Your mission as Corporate Legal Advisor will be to provide support in the delivery of reliable, accurate, timely and well-informed legal advice to business and corporate units, as a direct report to the Head of Corporate Legal Division and under the umbrella of the General Secretary. You will be engaged in assessing the potential legal implications of the company’s strategy and of business and other corporate initiatives. The position encompasses legal advice to the different corporate and business units including with regards to M&A, corporate, commercial and civil matters. Responsibilities: • Advise on M&A transactions and corporate operations from a legal point of view, being involved, as part of these operations, in the preparation and negotiation of the transaction documentation, including Confidentiality Agreements, Letters of Intent, Share and Purchase agreements, Shareholders agreements, Real Estate agreements, Transitional Services Agreements, and any other ancillary documents related to the transaction., • Provide general legal advice to all corporate areas, including in particular real estate, as well as assisting in the drafting and negotiations of the relevant contracts, • Provide legal support on the corporate/secretarial management of group companies (corporate resolutions, etc)., • Provide advice on technology-related legal aspects, including data protection matters, information security, etc, • Cooperate with other areas of the legal department (both in Spain and internationally) in order to ensure coordinated approach to all relevant legal issues. Requirements: • A Bachelor´s or Master´s Law Degree., • At least 3 years and in principle, not above 5, in well-known law firms or multinational companies., • Relevant experience in M&A, Corporate and Comercial Law issues including corporate and group reorganizations., • Legal Tech and Data protection expertise will be valued., • Authorizations to practice law in Spain., • Spanish and English at a fluent level (C1 Advance)., • Travel availability. Key competences: • Solution-focused approach with well-developed perceptions and judgement., • Multitasking and problem solving., • Excellent oral and written communication., • Strong detail-oriented research skills., • Integrity., • Computer skills, Microsoft Office advanced knowledge (Microsoft Excel, Word & PowerPoint in particular) and knowledge of legal database required.
