Company Secretary Analyst \n Location: London, St Paul's (hybrid - 4 days in the office, 1 day working from home) \n Contract: Permanent \n Salary: £55,000 - £60,000 per annum + discretionary bonus \n We are partnering with a listed, multinational asset manager seeking a Company Secretary Analyst to join their lean in-house Group Legal / Secretariat team in London. This is an excellent opportunity for someone looking to build a career in company secretarial and corporate governance work within a busy listed environment. \n You will provide hands-on support across a wide range of CoSec and governance activities for the Group (including approximately 60 entities), with a strong focus on listed company requirements, subsidiary governance and day-to-day secretarial administration. The role offers broad exposure to senior stakeholders, regulatory processes and governance projects, with scope to grow as the team develops. \n About the Role \n As Company Secretary Analyst you will support market announcements, statutory filings, Board and Committee processes, share buyback administration, PDMR notifications and wider governance projects. You will work closely with colleagues across the Secretariat function, Group Legal and the wider business, as well as external advisers. The role combines core company secretarial duties with some paralegal-style support and sits within a lean team that values proactivity, accuracy and a genuine commitment to developing in the CoSec profession (including progression of relevant exams). \n Key Responsibilities \n\n • Support a range of company secretarial administrative tasks, including Director appointments, drafting market announcements and acting as a general point of contact for CoSec queries.\n, • Manage the day-to-day administration of share buyback programmes, including preparing regulatory announcements, ensuring HMRC payments and maintaining accurate compliance records.\n, • Prepare and submit PDMR notifications to the FCA under the Market Abuse Regulation, tracking deadlines and ensuring timely, accurate filings.\n, • Draft Regulatory News Service (RNS) announcements covering corporate events, results, Director changes and other price-sensitive information, liaising with internal stakeholders and external advisers.\n, • Maintain statutory registers, coordinate timely Companies House filings and support the accuracy of internal systems.\n, • Assist with corporate documentation (including powers of attorney) and materials for routine corporate actions.\n, • Support Board and Committee processes, including drafting agendas, action logs and meeting packs.\n, • Contribute to governance projects such as annual reporting inputs, AGM organisation, regulatory reporting and process improvements.\n, • Manage day-to-day KYC administration, purchase orders, invoice payments and document execution processes for the Secretariat function.\n, • Work closely with internal teams, third-party administrators and regulators on CoSec and corporate governance matters.\n\n Requirements \n Essential \n\n • Approximately 2 years' experience working within a company secretarial team (or closely related governance/paralegal role).\n, • Familiarity with UK Listing Rules.\n, • Strong understanding of Companies Act requirements, statutory filings, statutory registers and governance record-keeping.\n, • Experience preparing or supporting Board and Committee processes (agendas, board packs, action logs).\n, • Excellent written communication skills, high attention to detail, and the ability to manage deadlines and handle confidential/market-sensitive information with discretion.\n, • Legal background with a strong academic record; commitment to developing a career in company secretarial work and completing relevant professional exams.\n, • Organised, methodical and proactive approach, comfortable managing competing priorities in a lean, fast-paced team.\n, • Confident communicator able to build effective relationships with colleagues, senior stakeholders and external advisers.\n\n Desirable \n\n • Legal or company secretarial qualification (or partial qualification).\n, • Experience in a listed or international group environment.\n, • Experience with KYC administration.\n, • Familiarity with board portal systems (e.g. Diligent or AdminControl).\n, • Minute-taking experience is not essential.\n
