What the role entails: We are seeking an experienced Corporate Paralegal who will be responsible for providing advanced, complex support and assistance to attorneys in the Corporate and Securities and International Departments. The Paralegal will be responsible for helping manage the department’s caseload of private clients while meeting the unique needs of each attorney. Key responsibilities: • Assistance with corporate documentation:, • Assisting with formation and dissolution of corporations, LLCs and other business entities, • Drafting annual board, shareholders’ and members’ resolutions and written consents., • Assisting with filing state annual reports, • Assisting with foreign qualification filings, • Coordinating with outside service companies to file and retrieve, • Accurately completing work assigned by multiple attorneys, including:, • Obtaining, organizing, and indexing due diligence documents, • Ordering and reviewing lien tax and judgements searches, • Drafting secretary’s and officer’s certificates and maintaining and updating stock ledgers and corporate books, • Drafting charter documents and amendments to charter documents, • Interfacing with outside service companies to file and retrieve documents and assisting with apostille procedures, • Transactional/closings:, • Organizing and preparing pre-closing and post-closing materials and related activities including but not limited to:, • Coordinating notarization activities, • Issuing stock certificates and updating stock ledgers, • Coordinating and assisting with signature pages, • Preparing closing sets or bound volumes, • Assisting with mailing(s) to security holders, • Maintaining and updating internal records and corporate books, • Assisting with retrieval and drafting of charter documents and amendments to charter documents Qualifications and skills: • A High School Diploma or equivalent. 4 years College degree preferred but not required., • Requires Fluency in French (verbally and written)., • 2+ years of law Firm experience., • Demonstrates an in-depth understanding and advanced proficiency of task-specific corporate concepts, procedures, and best practices., • Excellent verbal, written communication, analytical, organizational, research, planning, and proofreading skills., • Well organized, detail-oriented, efficient, and reliable., • Maintains a “can do” attitude, patience, and a positive team player mentality., • Ability to work both independently, with a team, and in a demanding and fast-paced environment., • Ability to organize, prioritize and handle multiple projects and shift priorities simultaneously., • Works effectively with various types of clients., • Strong proficiency in Microsoft Office 365, including Word, Excel, PowerPoint, Outlook, Teams; iManage, Nuance, Adobe, Zoom, and other videoconferencing applications., • E-filing experience in New York State Court and multiple jurisdictions, • An eye for detail and the ability to handle confidential, executive, and Firm matters effectively and efficiently with the utmost discretion. Compensation & benefits: The good faith base annual salary range for this position is a minimum $65,000 to a maximum of $110,000. The actual salary rate offered to candidates within that range will depend on a variety of factors, including without limitation, years of relevant experience, applicable education/certification(s), office location, and the candidate's overall qualifications for the position as assessed by the Firm.
