SUMMARY The Group International Tax & Structuring role is responsible for leading the Group's international tax strategy, cross-border structuring, and tax governance across all business lines and jurisdictions. The role provides strategic tax advice to management, commercial teams, legal, fund management, fiduciary, capital markets, and corporate services teams, ensuring that client structures and internal operations are commercially effective, tax-efficient, and fully compliant with applicable laws and international tax standards. The position serves as the Group's principal technical expert on international taxation and structuring matters, supporting business development, new product development, acquisitions, geographic expansion, and complex client transactions. The role also oversees the Group's tax governance framework, manages relationships with external tax advisors, and ensures that emerging international tax developments are appropriately assessed and implemented across the organization. PRIMARY DUTIES AND RESPONSIBILITIES • Responsible for developing the Group's international tax strategy, supporting the design of efficient and commercially appropriate cross-border structures, managing tax risk across the Group, providing tax leadership for new jurisdictions, products, and business initiatives, supporting business growth through commercially practical tax solutions, building a scalable tax governance framework across all legal entities, acting as a trusted advisor to senior management and business leaders., • Develop and maintain the Group's tax governance framework. Responsibilities include Tax policies, Tax risk management, Tax approval processes, Tax documentation standards, Internal guidance notes, Governance reporting, • Promote a proactive and responsible tax culture throughout the organization., • Identify, assess, and manage tax risks across the Group., • Conduct tax risk reviews for new structures, acquisitions, restructurings, new jurisdictions, operational changes, • Provide recommendations to mitigate identified risks while supporting commercial objectives., • Provide strategic tax advice relating to Cross-border investments, International corporate structures, Fund structures, Fund of Funds, Feeder-Master Fund arrangements, holding company structures, Special Purpose Vehicles (SPVs), Joint ventures, Family office structures, Private capital structures, Capital markets transactions, corporate reorganizations, Mergers and acquisitions, Financing arrangements, Exit structures, • Advise management on the tax implications of strategic business decisions and client transactions., • Work closely with Commercial, Legal, and Fund Management teams to design commercially effective structures that appropriately balance: commercial objectives, regulatory requirements, operational practicality, tax efficiency, governance considerations, investor requirements, • Provide tax input into new product launches, jurisdiction selection, investment platform design, client proposals, transaction execution, • Advise on the taxation of Alternative Investment Funds, Investment Management structures, Management Companies, Fund of Funds, Private equity funds, Venture capital funds, Real estate funds, Structured products, Capital markets investment platforms, • Support fund launches and ongoing operational matters from a tax perspective., • Provide guidance relating to Double Tax Treaties, Withholding Taxes, Permanent Establishment, Controlled Foreign Company (CFC) rules, Hybrid mismatch rules, OECD Transfer Pricing Guidelines, Base Erosion and Profit Shifting (BEPS), OECD Pillar Two / Global Minimum Tax Economic Substance requirements, DAC6 and mandatory disclosure rules, Cross-border financing, Exit taxation, • Assess the impact of legislative developments and recommend appropriate actions., • Oversee the Group's international tax compliance framework., • Coordinate with local finance teams and external advisors regarding corporate income tax, VAT/GST, Withholding taxes, Transfer pricing documentation, Tax reporting obligations, Country-specific tax filings, • While external advisors may prepare local filings, ensure that compliance obligations are effectively managed and completed., • Manage relationships with international accounting firms, External tax advisors, Transfer pricing specialists, Local tax consultants, Legal advisors, • Review technical advice received and ensure consistency with the Group's commercial objectives and risk appetite., • Monitor advisor performance, quality, and cost-effectiveness., • Partner with Commercial and Relationship Management teams by Supporting client pitches, participating in complex client meetings, reviewing tax aspects of proposals, assisting with solution design, Developing tax‑efficient client structures, • Support growth initiatives through commercially practical tax advice., • Provide ongoing technical guidance across the organization., • Develop internal training programs covering international taxation, cross-border structuring, emerging tax developments, tax risk awareness, practical tax implications for client-facing teams, • Monitor international tax developments including OECD initiatives, EU tax directives, Global minimum tax developments, international reporting obligations, Jurisdiction‑specific legislative changes, • Assess the impact on the Group and clients, recommending appropriate responses. TIME RECORDING AND DELIVERY • Accurately record time and value of service when working on projects and business line linked activities or required to do so., • Monitor own productivity and review productivity and performance against deliverables., • Follow a disciplined approach to submitting timesheets and tracking deliverables., • Ensure all daily and weekly deliverables are met, all deadlines are always adhered to and quality is ensured with no errors that impact the business and the Company OTHER DUTIES • Undertake the role of director, trustee, nominee, manager, partner, secretary, authorized signatory or any related position in internal entities or client entities of Amicorp Group, where necessary and required by the Management., • Undertake such other duties, as may from time to time, be required by the Management or/ and Group Human Resources. CANDIDATE PROFILE • Bachelor's Degree in Law, Accounting, Taxation, Finance, Economics, • One or more of Chartered Tax Adviser (CTA), Chartered Accountant (ACA, ACCA, CPA, CA), LL.M. in Taxation, ADIT (Advanced Diploma in International Taxation), • Minimum 18-20 years of relevant experience, including substantial experience in international taxation and cross-border structuring., • Strong preference for candidates with experience in International professional services firms, Global financial institutions, Asset management, Fund administration, Fiduciary services, Investment management, Private equity, Capital markets, • Demonstrated experience advising on multi-jurisdictional structures and complex international transactions., • Comprehensive knowledge of International corporate taxation, OECD Model Tax Convention, Double Tax Treaties, Transfer Pricing, BEPS framework, Pillar Two / Global Minimum Tax, VAT/GST, Economic Substance, Cross-border financing, Investment fund taxation, Alternative investment structures, Fiduciary structures, Capital markets transactions, International tax governance, • Understand clients' commercial objectives and develop practical tax solutions that support business growth while maintaining compliance., • Anticipate tax implications of business decisions, regulatory developments, and market trends, and to provide proactive guidance to management., • Exceptional expertise in international tax law, treaty interpretation, and cross-border structuring, with the ability to apply complex principles to real-world commercial scenarios., • Ability to build credibility with senior executives, commercial teams, external advisors, and clients, translating complex technical issues into clear, commercially meaningful advice., • Collaborative leadership style that promotes knowledge sharing, develops internal capability, and fosters a culture of sound tax governance and continuous improvement., • Exceptional client facing skills. Well-developed spoken and written communication skills and the ability to tailor style to relevant audiences and successfully liaise with people at different levels.
