Job Description We are seeking a mid-level associate corporate attorney with substantial M A experience for any of our offices in the Bay Area (Silicon Valley or San Francisco), Seattle, Santa Monica, New York or Boston. Role Responsibilities • Lead and support domestic and cross-border M A transactions, including asset and stock purchases, mergers, joint ventures, and strategic investments., • Draft, review, and negotiate transactional documents such as purchase agreements, disclosure schedules, closing documents, and ancillary agreements., • Manage and coordinate due diligence processes, prepare and analyze diligence materials, and summarize key issues for clients., • Advise clients on deal structure, risk allocation, regulatory considerations, and corporate governance implications., • Work closely with tax, IP, employment, and regulatory specialists to address transaction-related issues and coordinate cross-functional teams., • Help manage transaction timelines and closing logistics, including preparing checklists and coordinating with external counsel and advisers., • Supervise and mentor junior associates and paralegals, delegating tasks and providing constructive feedback on work product., • Contribute to client relationship management and business development activities, including drafting pitch materials and attending client meetings.QualificationsRequired, • 3–5 years of M A experience at a leading corporate law firm., • Admission to the bar in the jurisdiction where you intend to work, or eligibility to waive into the bar within 3–6 months (sitting for the bar exam is not supported)., • Superior academic credentials., • Excellent oral, written, and interpersonal skills.Preferred, • Experience with, or an affinity for, technology and/or life sciences companies., • Mergers Acquisitions (M A), cross-border M A, domestic M A, • Asset Purchase Agreement (APA), Stock Purchase Agreement (SPA), merger agreement, disclosure schedules, • Due diligence, diligence management, virtual data room (Intralinks, Datasite), document review, • Transactional drafting and negotiation, letters of intent (LOI), non-disclosure agreements (NDA), closing documents, • Deal structuring, risk allocation, purchase price adjustments, escrow and indemnity provisions, • Corporate governance, entity formation, capitalization tables (cap tables), equity compensation (stock options, RSUs), • Securities compliance, SEC filings, public company and private company transaction experience, • Private equity, venture capital, growth-stage and emerging company representation, • Industry focus keywords: technology, software (SaaS), life sciences, biotech, fintech, healthcare, • Cross-functional coordination: tax, IP, employment, benefits/ERISA, antitrust, regulatory matters, • Foreign investment/CFIUS, FCPA, export controls, data privacy (GDPR, CCPA), • Integration planning, post-merger integration, carve-outs, divestitures, joint ventures, strategic investments, • Tools platforms: iManage, DealRoom, Datasite, Intralinks, Microsoft Office (Excel/PowerPoint), Teams, Westlaw, Lexis, • Soft skills business competencies: client counseling, project management, leadership, mentoring, business development, pitching P
