Epiq Counsel is partnering with our leading, global technology client to identify a Commercial Contracts and Licensing Attorney based in Englewood Cliffs, NJ. This role offers the opportunity to step into a fast‑paced in‑house legal environment and work on early-stage ventures, product development initiatives, and strategic partnerships. Qualifications: • Willingness to support a fully onsite schedule out of our client's Englewood Cliffs, NJ office., • J.D. from an accredited law school and active bar membership in good standing., • 5–10+ years of relevant experience in commercial contracts, technology transactions, or licensing., • Demonstrated experience drafting and negotiating NDAs, vendor agreements, procurement contracts, as well as software and technology licensing agreements (including SaaS)., • Strong ability to work within established templates and playbooks while efficiently managing high-volume contract workflows., • Experience collaborating with cross-functional stakeholders in a business-facing legal role., • Experience supporting technology companies, R&D functions, or innovation/startup environments (preferred). Key Responsibilities: • Draft, review, and negotiate a high volume of commercial agreements, with a primary focus on NDAs, software licensing agreements (inbound and outbound), vendor agreements, and procurement contracts., • Pilot, proof-of-concept, and early customer engagement agreements., • Support startup incubation efforts by structuring and developing new contract forms where no precedent or playbook exists., • Partner with business teams to enable product development and commercialization efforts, including collaborations with external partners, researchers, and vendors., • Draft and negotiate agreements related to joint development, testing, and evaluation of new technologies and offerings., • Provide limited, practical legal guidance in connection with contract negotiations and business objectives., • Support digital and application-based offerings, including drafting terms of use and product-related terms for software and app-based solutions., • Assist with e-commerce and online business initiatives (e.g., direct-to-consumer sales via client's platforms)., • Issue-spot legal risks, including privacy considerations, and coordinate with subject matter experts (e.g., privacy counsel) as needed.
