Job Details We are seeking a mid-level associate to join our Executive Compensation and Employee Benefits practice. This position is suited for an attorney with 2–5 years of experience at a sophisticated law firm who is looking to deepen their work in complex compensation arrangements and transaction-driven advisory matters. The role offers exposure to both standalone executive compensation counseling and the benefits aspects of significant corporate transactions. Responsibilities Draft and negotiate employment agreements, equity incentive arrangements, deferred compensation plans, and severance packages Advise on change-in-control provisions and executive separation matters Support private and public company transactions, including mergers, acquisitions, IPOs, and other liquidity events Counsel clients on compliance with applicable tax and regulatory frameworks Work closely with corporate, tax, and private equity teams on transaction-related compensation issues Interact directly with company leadership, investors, and senior executives Qualifications 2–5 years of experience at a major law firm Strong background in executive compensation and employee benefits matters Experience representing public and private companies, emerging companies, private equity sponsors, and senior executives Familiarity with Sections 409A, 280G, and 83(b) of the Internal Revenue Code Requirements Excellent academic credentials Admission to the New York or New Jersey bar Strong drafting, analytical, and communication skills Ability to manage multiple workstreams in a fast-paced transactional environment Interested in hearing more?
