Job Summary: DB US Holding is seeking a seasoned Legal Counsel with strong expertise in government procurement and infrastructure contracting within the rail sector. This role requires navigating complex legal frameworks, delivering strategic counsel, and ensuring rigorous compliance with federal, state, and local regulations. The ideal candidate will support our mission by providing legal advisory, litigation oversight, and risk management services that align with our business objectives and uphold the highest standards of ethical integrity. The ideal candidate has strong ethics and sound judgment, strict adherence to confidentiality, a collegial attitude, is a self-starter, works well independently, is a highly adept multitasker, and displays both a sense of urgency and an ability to meet deadlines. Tasks and Responsibilities: • Contracting & Procurement, • Draft, review, and negotiate contracts and agreements, with a focus on railroad operations and infrastructure consulting projects with state and local agencies, potentially funded in part by federal agencies such as the Federal Transit Administration (FTA) and Federal Railroad Administration (FRA) and in part by, • Advise on public procurement processes, bid protests, and compliance with Federal Acquisition Regulations (FAR) and state-specific procurement codes (e.g., California and New York)., • Support contract administration and contract lifecycle management for rail consulting., • Legal Advisory & Research, • Conduct legal research and analysis on statutes, regulations, and case law relevant to transportation, public works, and government contracting., • Provide legal guidance to senior leadership on corporate governance, regulatory compliance, and strategic transactions., • Litigation & Dispute Resolution, • Manage and oversee litigation, arbitration, and dispute resolution processes., • Coordinate with external counsel and represent the company's interests in legal proceedings., • Risk & Compliance, • Monitor and manage legal risks associated with government funding, regulatory oversight, and contractual obligations., • Develop and implement internal policies and training programs to ensure compliance with federal and state regulations., • Operational Legal Support, • Oversee document management, e-discovery, and archival processes., • Juris Doctor (JD) from an accredited law school; active bar membership., • Minimum 5-7 years of legal experience, with significant exposure to government procurement and infrastructure contracting., • Demonstrated knowledge of public agency contracting, consulting and procurement law. Railroad industry experience is a plus., • Strong negotiation, analytical, and communication skills., • Experience working with multidisciplinary teams in a fast-paced, mission-driven environment., • Exceptional accuracy and organizational skills, with a proven ability to manage multiple priorities and consistently meet tight deadlines., • Strong time management, interpersonal, and verbal/written communication skills., • Advanced analytical and problem-solving abilities, with a track record of working independently and taking full ownership of projects., • Self-driven, adaptable, and eager to learn and implement new processes, tools, and skills., • Exhibits a solid work ethic characterized by punctuality, reliability, responsibility, diligence, integrity, respectfulness, and accountability., • Proficiency in Microsoft Office suite, including Excel, Outlook, and Word. Well-lighted, heated and air-conditioned indoor office setting with adequate ventilation. Minimal overnight travel by land and air.
