Description: We are seeking a highly skilled and motivated Deputy Company Secretary to join our dynamic team based in Aberdeen. This pivotal role will support the company secretary in ensuring the highest standards of corporate governance, compliance, and secretarial support across the organisation. The successful candidate will play a key role in facilitating effective board procedures and upholding statutory and regulatory obligations. Key Responsibilities Delivery of the full range of related services to the board and subcommittees, including the organising, preparing, and minuting of board and committee meetings and the timely distribution of agendas and papers. Ensure compliance with all statutory, regulatory, and governance requirements relevant to the client, including Companies Act obligations and industry-specific regulations. Coordinate content for the governance statement within the annual report. Maintain accurate statutory registers and company records, ensuring filings with Companies House and other authorities are completed accurately and on time. Support board directors and senior management with advice on governance best practices, conflicts of interest, and corporate policies. Assist in the development and implementation of corporate governance frameworks, policies, and procedures. Deputise for the Company Secretary as required, including attending meetings and representing the function. While the role will not initially require line management, there is expected to be line management of administrative staff in due course and at all times there will be a need to work collaboratively with colleagues across the organisation, particularly in programme management and the private office. Person Specification Governance professional with proven experience in a similar senior company secretarial role, including but not limited to those with certified or chartered company secretary qualifications. Experience within the energy sector or public sector or similar would be an advantage. Excellent understanding of UK company law, corporate governance codes, and regulatory requirements. Outstanding organisational skills with meticulous attention to detail and ability to operate autonomously using initiative. Strong written and verbal communication skills, with the ability to interact confidently at the board level. Discretion, integrity, and the ability to handle confidential information sensitively. Proficiency with Microsoft Office and board management software. Experience as deputy/co-secretary for senior governance professional in an Ltd. company Proficiency with Microso Proficiency with Microsoft Office and board management software.
