The GFH brands serve communities throughout California, Oregon, and Washington. GFH is seeking an experienced Senior Commercial Contracts Counsel to join its in-house legal department. In this role, you will be the primary legal partner, independently leading a broad range of complex commercial activities across our grocery retail businesses – from merchandising and supply chain to technology, operations, marketing, real estate, and corporate functions. You will draft, negotiate, and manage complex commercial contracts while providing practical, actionable legal advice that balances risk with business objectives. Key Responsibilities • Independently draft, review, and negotiate a wide variety of commercial contracts, including vendor/supplier agreements, product supply and distribution agreements, licensing agreements, SaaS and technology contracts, professional services agreements, marketing/advertising agreements, logistics and transportation contracts, NDAs, etc., • Independently assist with real estate matters, including supporting negotiation of leases, lease amendments, estoppels, SNDAs, or consent documents; interpreting lease provisions related to operational issues; providing guidance on routine landlord/tenant communications; and coordinating with outside counsel on more complex leases, construction agreements, or transactions, if necessary., • Provide guidance on retail operations, e-commerce, data privacy, advertising, intellectual property, and other general corporate matters impacting commercial contracts., • Serve as a trusted advisor to merchandising, procurement, operations, finance, IT, marketing, and executive teams on legal risks, contract strategy, and compliance., • Manage contract workflows and collaborate with cross-functional stakeholders to resolve issues during contract performance and enforcement., • Develop and refine contract templates, playbooks, and processes to improve efficiency, consistency, and scalability across the enterprise., • Support internal governance, including risk assessments, compliance initiatives, and policy development (e.g., procurement policies, marketing guidelines, data-sharing practices, etc.)., • Train business teams on contract negotiation, legal considerations, and best practices., • Lead or support special projects as assigned by the VP of Legal and/or other company executives. Qualifications • JD from an accredited law school; licensed to practice and in good standing in one or more of the following U.S. jurisdictions: California, Oregon, or Washington., • 7+ years of commercial contracting experience, including in-house experience (retail or consumer products sectors preferred)., • Strong understanding of contract and corporate law, business transaction principles, data privacy, IP, real estate, and marketing/advertising law., • Experience in independently supporting the commercial and business needs of a retail or consumer products organization, including demonstrated ability to negotiate complex, high-value agreements in a self-directed manner and drive results in a fast-paced environment., • Excellent communication, negotiation, and drafting skills with the ability to translate legal concepts into clear business guidance and the ability to draft complex legal documents independently., • Proven record of building relationships and partnering effectively with cross-functional departments. Additional Information Physical Requirements and Working Conditions · Ability to work on-site in an office environment, based in Carson, CA. • Sitting/Standing: Ability to sit or stand for extended periods while working at a desk or computer., • Manual Dexterity: Proficiency in typing and using office equipment, including computers, printers, and phones., • Hours of work may vary. Pay Disclosure The annual base salary range for this position is $165,000 to $215,000. The pay scale provided is the range that GFH reasonably expects to pay as starting base compensation for this role. All GFH compensation remains subject to final determination based on individual candidate qualifications, experience, or other reasonable criteria consistent with GFH’s operational business needs and applicable law.
