We are looking for The Vice President of Compliance & Contracts provides executive leadership and strategic oversight for enterprise-wide compliance programs, contract governance, and regulatory obligations across CXtec and affiliated companies. This role ensures adherence to applicable federal, state, local, international, and industry-specific requirements while enabling business growth through compliant contract structures, purchasing vehicles, and certification frameworks. The VP serves as the primary liaison with corporate counsel for legal review and negotiations and acts as a strategic advisor to executive leadership on compliance, contractual risk, organizational certifications, and sustainability governance. The ideal candidate has 7–10 years of experience in operations, compliance, or legal roles. They have strong knowledge of contract administration, trade compliance, and ITAD certifications (R2V3, e-Stewards, ISO, NAID AAA), along with proven leadership experience. Highly organized and detail-oriented, they excel at managing priorities, communicating effectively, and partnering with leadership to align compliance strategies with business goals The annual salary range for this position is $155,000.00-$225,000.00 Final compensation will be determined based on a variety of factors including geographic location, skills, relevant education, experience, certifications, and overall alignment with business and organizational needs. This position is in Syracuse, NY or Remote What you'll be doing: Enterprise Compliance & Governance • Provide executive oversight for all corporate compliance programs, policies, and internal controls across CXtec and its operating entities., • Ensure ongoing compliance with applicable laws, regulations, and contractual obligations across commercial, government, and state business channels., • Monitor regulatory developments and industry standards, advising executive leadership on compliance impacts and risk mitigation strategies. Contracts, Legal Coordination & Company Agreements • Oversee governance of the contract lifecycle, including review, negotiation support, execution, modifications, renewals, and terminations., • Oversee governance and standardization of all company contractual documents, including but not limited to: NDAs; Sub-Contractor and Independent Contractor Agreements; OEM, Manufacturer, and Strategic Partnership Agreements., • Establish and maintain approved contract templates, clause libraries, and approval workflows to ensure consistency, compliance, and risk mitigation., • Serve as the primary liaison with corporate counsel for all legal negotiations, contract review, and interpretation of contractual risk related to NDAs, subcontractor arrangements, OEM partnerships, and strategic alliances., • Coordinate cross-functional review of contracts and agreements to ensure alignment with compliance, operational, and financial requirements prior to executive execution., • Ensure company agreements align with regulatory requirements, purchasing vehicle obligations, organizational certifications (ISO, R2/RIOS, e-Stewards), and customer contractual commitments., • Support Sales, Procurement, Operations, and Executive teams by advising on proper use, modification limits, and escalation thresholds for standard agreements., • Ensure proper execution, storage, retention, and audit readiness of all corporate agreements within centralized contract management systems., • Provide executive guidance on complex, high-risk, or non-standard contractual arrangements. Government, State & Purchasing Vehicles • Provide oversight and governance of all contract purchasing vehicles, including federal, state, cooperative, and educational programs., • Lead management of State Purchasing Contracts, ensuring compliance with contract terms, reporting requirements, renewal cycles, and audit standards., • Oversee government and education contracting vehicles and teaming arrangements to ensure ongoing eligibility, compliance, and risk mitigation. Import & Export Compliance • Provide executive-level oversight of compliance with all Import & Export Control regulations, trade compliance statutes, and international shipping requirements., • Ensure organizational adherence to export/import compliance programs, internal controls, documentation standards, and audit readiness., • Serve as escalation authority for trade compliance matters and regulatory inquiries. Organizational Certifications & Sustainability Programs • Provide oversight and executive governance for organizational certifications, including but not limited to ISO certifications, R2/RIOS, and e-Stewards., • Ensure certification requirements are maintained, audited, and aligned with operational execution and regulatory expectations., • Lead management of EcoVadis partnership and certification, including rating performance, corrective action plans, and continuous improvement initiatives., • Collaborate with Operations, Supply Chain, and Executive Leadership to align certification frameworks with CXtec’s sustainability and ESG commitments. Advisory & Negotiation Support • Act as a senior advisor during customer and partner contract negotiations to ensure compliance with applicable laws, regulations, purchasing vehicles, and awarded contract terms., • Support Sales, Operations, and Executive teams by identifying compliance risks and structuring compliant, commercially viable solutions., • Lead or support negotiations involving government, state, or strategic enterprise customers where compliance risk is elevated. Team Leadership & Program Management • Lead, develop, and manage Compliance and Contracts teams, including staffing, performance management, and professional development., • Drive a culture of accountability, integrity, and continuous compliance improvement across the organization., • Ensure appropriate compliance training, awareness, and documentation programs are implemented enterprise wide. Additional Responsibilities • Oversee centralized contract and document retention systems, including electronic and original document repositories., • Coordinate with outside counsel and internal stakeholders on legal matters and regulatory inquiries., • Support special projects and enterprise initiatives assigned by executive leadership. What we’re looking for: • Bachelor’s degree in business, Legal Studies or related field., • 7 - 10 years’ experience in Operations, Corporate Compliance and/or legal matters., • Legal/contract experience preferred., • 5 years’ experience with ITAD specific certifications including R2V3, e-Stewards, ISO 9001/14001/27001/45001, NAID AAA., • Thorough knowledge of corporate and/or government contract administration, as well as a solid understanding of trade compliance rules and regulations., • Ability to organize and manage multiple priorities, while demonstrating strong attention to detail and appreciation of deadlines is essential., • Proven leadership experience managing compliance and/or legal teams., • Exceptional negotiation, communication, and problem-solving skills., • Proven ability to collaborate with executive leadership as a strategic partner, influence decisions and align compliance and contract strategies with business objectives, • Ability to operate independently and also work collaboratively across teams., • Exhibit strong analytical and problem-solving skills., • Demonstrate strong communication and interpersonal skills., • Proficiency with MS Office.
