OVERVIEW A&A is seeking attorneys licensed in the State of Texas or eligible for pro hac vice admission to support the company’s ongoing legal matters and operational activities in multiple jurisdictions. This position is designed for attorneys who wish to collaborate with A&A’s in-house legal department headquartered in Texas, providing regional legal support in employment, contractual, and liability-related matters. The Legal Counsel (Pro Hac Vice) will work closely with the company’s Texas-based in-house counsel and outside defense attorneys to manage claims, review contracts, coordinate filings, and participate in hearings or mediations as appropriate. The role is structured for independent attorneys or firms able to accept assignments on a negotiated basis while maintaining professional collaboration with the company’s primary legal office. PRIMARY RESPONSIBILITIES Legal Oversight and Representation · Support the Texas-based in-house legal team with claims, pre-litigation matters, and ongoing litigation. · Appear on behalf of A&A in hearings, mediations, or administrative proceedings under pro hac vice admission. · Coordinate with in-house counsel for filings, case management, and discovery matters. · Assist in preparing affidavits, declarations, factual responses, and internal legal summaries. · Provide legal analysis and guidance on issues involving employment law, negligence claims, and contractual liability. Contract Review and Compliance · Review subcontractor and vendor agreements for indemnification, insurance, and liability provisions. · Identify potential exposure or conflicts in contracts and advise the in-house counsel accordingly. · Participate in the development of internal templates, risk allocation provisions, and standardized contract language. Claims Management and Risk Mitigation · Support responses to workplace incidents, wage and hour disputes, or third-party liability claims. · Coordinate with the Risk and Human Resources departments to ensure timely and accurate documentation. · Assist in managing communications with insurers, adjusters, and external defense counsel. Collaboration and Reporting · Maintain consistent communication with A&A’s in-house legal counsel based in Texas. · Participate in scheduled case review meetings, strategy sessions, and legal briefings. · Provide regional insight and support for local or state-specific compliance issues. QUALIFICATIONS Minimum Requirements · Juris Doctor (JD) degree from an accredited law school. · Active license to practice law in Texas or eligibility for pro hac vice admission. · 1-2 years of experience in employment law, contractual disputes, or general civil litigation. · Ability to appear in state or county court for hearings and administrative matters. · Excellent written and verbal communication skills, including the ability to explain legal matters to non-lawyers. · Strong organizational skills and the ability to manage multiple concurrent cases. Preferred Qualifications · Prior experience collaborating with in-house counsel or serving in an “of-counsel” capacity, preferred. · Familiarity with staffing industry operations, government contracting, or security service liability. · Experience with indemnification enforcement, risk management documentation, and pre-trial coordination. COMPENSATION Compensation is negotiable and will be determined based on experience, jurisdictional licensing, and the scope of representation. Engagements may be structured on an hourly, retainer or project basis.
