SUMMARY The State and Local Tax Director is responsible for owning and leading all aspects of the Company's State and Local Tax function, including state income/franchise tax and indirect tax compliance, ASC 740 state tax provision support, planning, and controversy management. This role serves as a key technical expert and strategic advisor on multistate tax matters, including nexus, apportionment, sourcing, and state footprint strategy. The State and Local Tax Director partners cross-functionally with Accounting, Finance, Legal, Operations, and IT to ensure tax implications are identified and addressed, manages external advisors, drives process and technology improvements, and supports broader business initiatives. Essential Duties and Responsibilities include the following. Other duties and tasks may be assigned. State and Local Tax Leadership & Strategy • Own and lead the Company's SALT function, including governance, compliance and financial reporting calendars, controls, and documentation standards across all jurisdictions, • Serve as the primary internal advisor on all SALT and indirect tax matters, providing practical guidance to leadership on SALT risks, opportunities, and business impact., • Provide strategic input on the Company's state tax footprint, entity structure, operational changes, and business initiatives., • Partner cross-functionally with Accounting, Finance, Legal, Operations, IT, and senior management to ensure SALT implications are identified, evaluated, and properly addressed., • Support business teams in understanding SALT impacts of operational and strategic decisions., • Develop and maintain strong relationships with external tax advisors, auditors, and other key stakeholders., • Manage, mentor, train, and develop team members supporting SALT workstreams, including performance oversight, technical review, skill development, and knowledge sharing, while providing leadership and accountability over internal staff and external advisors to ensure timely execution, high-quality deliverables, and effective coordination across SALT responsibilities. State Income Tax Compliance & Planning • Direct and manage the preparation and review of multistate, multi-entity corporate income and franchise tax returns, extensions, and estimated payments, refund claims, and related filings, ensuring accuracy and timeliness., • Manage a combination of outsourced and in-house SALT compliance processes, including review of tax returns, workpapers, payments, and supporting documentation., • Review quarterly estimated tax payment calculations and extension payment calculations., • Direct and manage partnership tax compliance processes, including review of state tax returns, K-1 reporting, state tax payments, and related partner reporting matters., • Provide a high degree of service to physician partners through annual K-1 tax reporting, including responding to SALT-related questions and inquiries from physician partners and their CPAs., • Review and approve state filing positions, including apportionment, nexus, sourcing, state modifications, filing methodologies, combined/unitary reporting positions, addbacks, credit utilization, and state elections., • Lead SALT planning initiatives, including identifying opportunities to reduce cash taxes, optimizing effective tax rates, improving filing positions, and managing state tax risk., • Direct and manage state cash tax forecasting, budgeting, and income tax projection models., • Prepare and maintain defensible documentation supporting SALT positions, planning initiatives, and changes resulting from evolving business operations or tax law. ASC 740 -- State Tax Provision Support • Support the preparation and review of state tax items for quarterly and year-end income tax provisions, including payable roll-forwards, state deferred tax inventory analysis and reconciliation, tax account reconciliations, footnote disclosures, FIN 48/uncertain tax positions, memoranda, and journal entries., • Review and analyze state provision-to-return true-up adjustments for all applicable income tax jurisdictions., • Support the use of OneSource OTP and related tax technology in connection with the state tax provision and quarterly reporting process., • Partner with internal teams and external auditors to ensure state tax provision calculations and related positions are supported by audit-ready documentation. Process Improvement & Tax Technology • Drive process improvements, automation, and standardization across SALT compliance, provision support, audit readiness, and reporting., • Enhance data quality, workflow efficiency, documentation practices, controls, and review processes., • Manage and optimize the use of tax systems, external provider processes, workpapers, tax calendars, and workflow tools., • Lead tax process enhancements by developing and implementing improvements that increase the accuracy, consistency, and accessibility of SALT data. Audit, Controversy & Risk Management • Lead and manage state and local tax audits, notices, inquiries, and controversy matters, including strategy, documentation, response preparation, exposure analysis, and resolution., • Identify, quantify, and mitigate SALT exposure risks through effective controls, remediation strategies, and process improvements., • Manage voluntary disclosures, amended filings, refund claims, and other risk mitigation initiatives, as needed., • Coordinate SALT-related documentation requests and inquiries from external auditors. Indirect Tax (Sales & Use / Property Tax) • Oversee outsourced indirect tax compliance, including sales and use tax, property tax, and related filings., • Establish and maintain controls over taxability determinations, exemption certificates, data integrity, filings, payments, notices, and advisor deliverables., • Monitor indirect tax processes and identify opportunities to improve compliance, documentation, controls, and vendor management. M&A, Credits & Incentives, and Special Projects • Provide SALT support for tax planning, M&A transactions, due diligence, structuring, entity changes, and post-acquisition integration., • Identify and evaluate state credits and incentives opportunities in coordination with external advisors and internal stakeholders., • Assess SALT implications of business initiatives, expansions, restructurings, and operational changes., • Prepare technical analysis, documentation, and recommendations supporting business decisions and tax positions. Legislative Monitoring & Technical Research • Monitor, interpret, and communicate state legislative and regulatory developments that may impact the Company., • Conduct technical research and analysis of complex SALT matters, including state conformity and decoupling, nexus, apportionment, sourcing, credits, incentives, and filing methodology issues., • Prepare technical memoranda and other documentation supporting SALT positions, planning initiatives, and business decisions., • Communicate developments, risks, opportunities, and recommendations to Tax leadership and internal stakeholders. Qualifications/Requirements: To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. Requirements include: • Bachelor's degree in accounting, tax, finance, or related field., • CPA and/or Master's in Tax strongly preferred., • 12 to 15+ years of progressive tax experience, including recent corporate tax department experience and prior national CPA firm experience, with significant expertise in state and local tax. Strong technical knowledge of state income and franchise tax, including apportionment, nexus, sourcing, state modifications, combined/unitary reporting, state filing methodologies, and multistate compliance., • Proven ability to operate effectively in a remote work environment, including managing internal teams and external providers and building strong internal and external relationships., • Prior experience managing complex SALT compliance processes, including tax returns, estimates, extensions, payments, notices, refund claims, partner reporting, and external advisor deliverables., • Prior experience with ASC 740, including state tax provision calculations, deferred taxes, provision-return adjustments, FIN 48/uncertain tax positions, account reconciliations, and related documentation., • Strong tax technical research, writing, documentation, and analytical skills., • Strong understanding of complex corporate and partnership income tax principles, including SALT considerations related to multi-entity and joint venture structures., • Experience managing state and local tax audits, controversy matters, technical research, and tax authority inquiries., • Experience overseeing indirect tax matters, including sales and use tax and property tax, preferred., • Ability to identify, assess, and communicate SALT risks, opportunities, and planning considerations to Tax, Finance, Legal, Operations, and senior management., • Thorough knowledge of corporate accounting and finance practices, tax law, tax accounting procedures, internal controls, and business process workflows., • Experience managing external tax advisors and co-sourced service providers., • Knowledge of corporate internal control requirements under SOX Section 404 preferred., • Excellent communication, problem solving, and critical thinking skills., • Ability to prioritize and manage multiple assignments, deadlines, and stakeholders in a dynamic and fast-paced work environment., • Strong leadership, project management, and team development skills., • Strong emphasis on advanced Excel skills., • Experience with OneSource OTP, Alteryx, D365, BNA, and/or similar tax/accounting systems preferred.
