Contractor is expected to provide strong leadership, sound financial and operational judgment, and effective communication with the Board of Trustees, property owners, regulatory agencies, consultants, contractors, employees, and other stakeholders. Contractor Status and Classification Independent Contractor Relationship. Contractor is retained as an independent contractor and not as an employee, agent, or representative of the District for any purpose. Contractor shall determine the manner and means of performing the services described in this Scope of Services, subject to the District's right to review and approve deliverables and results. Nothing in this Scope of Services or the underlying agreement creates an employer-employee relationship, and Contractor is not eligible for District employee benefits, CalPERS enrollment, workers' compensation coverage through the District, or unemployment insurance through the District. Contractor is solely responsible for supervising and directing the manner in which Contractor's own personnel, if any, perform services. Business License and Insurance. Contractor shall maintain any business license required by applicable law and shall carry commercial general liability, automobile liability, professional liability (errors and omissions), and, if Contractor has employees of its own, workers' compensation insurance, in amounts and forms acceptable to the District, and shall name the District as an additional insured where appropriate. Contractor is solely responsible for all applicable taxes on amounts paid under this Scope of Services, and the District will report payments on IRS Form 1099 as required. Fidelity Bond. Contractor shall furnish a fidelity or faithful-performance bond in an amount set by the Board, in an amount not less than double the amount of any revolving fund Contractor is authorized to disburse, consistent with bonding requirements that apply to persons who handle District funds regardless of employment classification. The agreement should specify who bears the premium. Term and Termination. Services shall be provided under a written Personal Services Agreement specifying the term, compensation, and termination provisions, including the District's right to terminate for convenience on written notice. A fixed term with defined renewal terms, rather than open-ended or indefinite engagement, better supports independent contractor treatment. Conflict of Interest.
