We are seeking an experienced Corporate Securities Paralegal to join Align’s Corporate Securities team. This role is well-suited for a seasoned paralegal with strong experience supporting a regulated, public company environment, including corporate governance, SEC reporting, and global entity management. This role will be based in Tempe, Arizona and will report to the VP, Associate General Counsel, Corporate Securities. In this role, you will partner closely with Legal, Tax, Treasury, Finance, Human Resources, Investor Relations, and other cross-functional teams to support regulatory compliance, governance operations, and Board and executive activities for a global medical device technology company. You will be a trusted operational partner known for sound judgment, attention to detail, discretion, and the ability to manage complex, high-visibility processes with confidence. You will work alongside a highly collaborative Legal team that values ownership, continuous improvement, and thoughtful use of technology, including AI-enabled workflows, to deliver high-quality outcomes at scale. Role expectationsIn this role, the following activities will comprise your principal responsibilities: SEC Reporting and Disclosure Support • Support the preparation, drafting, research, and coordination of SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements, earnings materials, and other required securities filings., • Manage, coordinate, and support the end-to-end filing process of SEC documents: document compilation, version control, tie-outs support, exhibit coordination, signature packet coordination, and internal review workflows with cross-functional stakeholders., • Track disclosure items, open issues, and deadlines; maintain calendars and checklists for periodic and event-driven reporting., • Stay abreast of evolving securities law and corporate governance developments and help operationalize updates into internal processes and templates., • Monitor developments in securities law, disclosure requirements, and corporate governance standards and help translate updates into practical templates, processes, and internal guidance. Board, Committee, and Corporate Secretarial Support, • Prepare and coordinate Board of Directors and committee meeting materials, including notices, agendas, resolutions, and minutes; support annual shareholder meeting materials and related documentation., • Establish and maintain calendars for drafting, review, and distribution of board/committee materials; coordinate with executives and advisors to ensure timely production and quality control., • Perform quality assurance of board/committee materials prior to distribution; help maintain compliance with governing documents, committee charters, and corporate governance guidelines.Governance Operations & Entity Management, • Support governance and compliance activities for domestic and international entities (e.g., annual reports, recordkeeping, corporate actions, audits), powers of attorney, including coordination with external vendors/counsel as needed., • Support insider trading policy administration and onboarding processes for officers, directors and employees (e.g., questionnaires, certifications, training acknowledgements), as relevant.Operational Excellence & AI-Enabled Workflows, • Apply strong judgment and discretion with confidential information; maintain organized repositories, naming conventions, and version control practices., • Education: Bachelor’s degree and/or paralegal certificate (or equivalent relevant experience)., • Experience: 7+ years of experience supporting public company corporate governance and/or securities reporting in a regulated environment., • Demonstrated experience supporting SEC filings (proxy, periodic reports, and related disclosure workflows) and Board and executive level meeting coordination, materials creation and support.Skills and Capabilities, • Strong attention to detail and proven ability to manage multiple priorities and deadlines., • Advanced proficiency with Microsoft Office tools, including Copilot, Word, Excel, and PowerPoint, as well as Workiva, Intelligize, and document collaboration platforms., • Comfort working with senior executives and cross-functional partners across a global organization., • An AI-first mindset, with the ability to apply technology to improve efficiency, quality, and consistency.Communication and Collaboration, • Calm, precise, and professional communication style., • Confidence engaging with executive stakeholders and external advisors., • Strong written and verbal communication skills.Team Orientation, • Ability to work independently while thriving in a highly collaborative, team-oriented environment., • A proactive, ownership-driven approach aligned with Align’s culture of accountability and continuous improvementComplementary skills, • Strong project management instincts (issue lists, action trackers, calendars, dependency mapping).
