The opportunity Intact Insurance (Europe) S.A. is seeking an Assistant Company Secretary to lead the corporate secretariat function for its Paris-based insurance entity and its multi-jurisdictional branch network, including the corporate governance oversight of a new UK-regulated branch. This role reports to the Head of Legal & Company Secretary and includes responsibility for shaping and embedding governance practices across the organisation. The position is based in Paris with occasional travel to London and other EU branch locations. Some of the responsibilities include but are not limited to: A. Board & Committee Secretariat • Deliver full end-to-end governance support including agenda planning, Board pack preparation, minutes, and action tracking., • Maintain statutory registers, shareholder materials, signature authorities, and Terms of Reference., • Ensure Board documentation meets standards suitable for audit and regulatory review., • Act as primary liaison to Board and Committee Chairs, ensuring timely information flows and high‑quality governance materials. B. Governance for UK Regulated Branch • Working with UK colleagues, to develop and implement governance frameworks for the UK branch authorisation and supervision., • Create governance maps, committee structures and decision-making frameworks aligned with regulatory and corporate expectations., • Ensure ongoing compliance with UK regulatory expectations, including periodic reviews, attestations, and governance reporting. C. Corporate Governance & Entity Management • Draft and review corporate governance documentation, including resolutions and powers of attorney., • Manage governance for the Paris HQ and EU branches, ensuring consistency across jurisdictions., • Oversee lifecycle governance events (e.g., incorporations, dissolutions, changes in management, registered office updates)., • Handle notarisation, certification and apostille processes as required. D. Regulatory Governance & Documentation • Prepare governance documentation for regulatory filings, supervisory reviews, audits, and inspections., • Align governance documentation with French regulatory expectations and broader EU/UK requirements. E. Strategic Projects • Support governance‑related training initiatives, including DORA, CSRD/ESG governance, Dawn Raid preparedness, and other strategic regulatory programmes, ensuring consistent understanding and implementation across the organisation., • Coordinate and oversee governance deliverables for major transformation and restructuring projects. F. Cross-Border Stakeholder Management • Build strong relationships with key governance stakeholders to ensure alignment, transparency and effective decision‑making., • Liaise with senior executives, UK governance teams, branch managers and Group CoSec functions., • Collaborate with external counsel, auditors, and regulators across jurisdictions. Requirements and skills • Strong understanding of governance frameworks for regulated entities., • Knowledge of French corporate requirements, as well as EU/UK governance expectations., • Excellent drafting skills and ability to manage multi-jurisdictional governance., • Strong organisational skills with the ability to manage competing priorities., • Professional fluency in French and English; proficiency in another EU language an advantage., • High integrity, judgement and strong communication skills. Background & Experience • Legal, governance, or corporate secretariat background in regulated financial services., • Experience supporting Boards and senior executives across multiple jurisdictions., • Experience in a senior governance, CoSec or corporate legal role within an insurance or financial services organisation is strongly preferred. Summary This role requires a senior governance professional capable of leading high‑level Board support, overseeing governance frameworks across multiple European jurisdictions, producing regulatory‑grade documentation, and ensuring effective governance processes for a regulated UK branch, while operating within a Paris‑based headquarters.
