The successful candidate will advise developers, sponsors, lenders, investors, utilities, infrastructure companies, and project participants on a wide range of transactional matters involving renewable energy, conventional energy, data centers, and public-private infrastructure projects. Attorneys will gain substantial responsibility, direct client interaction, and exposure to innovative projects shaping the future of energy development. Key Responsibilities • Advise clients on renewable energy and infrastructure project development transactions., • Structure, negotiate, and execute complex project finance transactions., • Represent sponsors, developers, investors, lenders, and project participants in sophisticated energy transactions., • Handle transactions involving solar, wind, battery storage, and other energy transition projects., • Participate in infrastructure transactions across both energy and non-energy sectors., • Support clients in data center development and financing projects., • Structure and negotiate tax equity financing arrangements., • Assist with public-private partnership (PPP) transactions and infrastructure investments., • Draft and negotiate transaction documents, development agreements, financing agreements, and project-related contracts., • Conduct legal due diligence and transaction risk analysis., • Collaborate with multidisciplinary teams, including financial advisors, engineers, consultants, and project sponsors., • Provide strategic legal guidance regarding project development, financing structures, and regulatory considerations. Qualifications • 2–6 years or 8+ years of relevant transactional experience., • Experience in project development, project finance, infrastructure transactions, or related areas preferred., • Background involving renewable energy, conventional energy, or energy transition projects strongly preferred., • Familiarity with tax equity financing structures preferred., • Experience handling public-private partnership (PPP) projects is a plus., • Active Texas Bar admission required., • Strong transactional drafting and negotiation skills., • Excellent analytical and problem-solving abilities., • Strong written and verbal communication skills., • Ability to manage multiple complex transactions simultaneously., • Strong client service orientation and business judgment. Education • Juris Doctor (JD) degree from an accredited law school. Certifications • Licensed to practice law in Texas., • Texas Bar required.
