Job Description Microvast is seeking a highly experienced Senior Counsel to join the legal team, with a primary focus on drafting and negotiating all corporate, commercial, and transactional matters. This role will provide direct legal support for corporate growth initiatives, strategic partnerships, and financing transactions, whiles ensuring sound governance and compliance practices. Other matters that s/he will also support include legal guidance relating to data privacy, procurement, employment, manufacturing, EHS, real estate, human resources, and other general commercial contracting and other matters. Key Responsibilities: • Provide legal support and guidance on matters relating to corporate finance, treasury, and securities including drafting, reviewing, negotiating, consummating, and compliance with, employment agreement, supply agreements, IP licensing agreements, technical agreements, warranty agreements, development agreements, services agreements, and confidentiality agreements, materials agreement, licensing agreements, consulting agreements, etc., • Provide legal support and guidance on matters relating to corporate governance matters including management of corporate minute books and organizational documents (including articles of incorporation, bylaws, formation agreements, board committee charters, board corporate governance guidelines, foreign state qualifications, and good standing certificates)., • Provide legal support and guidance on compliance matters including implementation and administration of compliance policies (including the company’s insider trading policy) and compliance training related to corporate, securities, and finance matters., • Facilitate resolution of legal disputes by drafting and responding to breach of contract claims., • Develop templates, playbooks, and negotiation strategies to support efficiency and consistency across commercial operations., • Support on corporate governance frameworks, entity formation and structuring, and intercompany agreements., • Advise and counsel on a variety of legal and compliance topics., • Monitor emerging laws, regulations, and policy development affecting energy and manufacturing infrastructure in countries where company operations., • Collaborate with colleagues worldwide to ensure consistency in contracts and risk allocation across Microvast’s various businesses., • Provide legal support and guidance on matters relating to litigation, claims and disputes, and governmental investigations related to corporate, securities, commercial matters., • Juris Doctor with a current license to practice in Texas, • Required 10 years total experience, • Minimum 4 years of law firm or in-house experience required with general corporate, securities, and commercial transactions experience., • Excellent communication skills with business-level to near native-level fluency in English, both verbal and written; additional languages as a plus, • Should be detail-oriented with excellent legal judgment, strong organizational skills, and exceptional verbal and written communication skills (including analysis, interpretation, and reasoning)., • Should be able to identify problems and provide creative and thoughtful solutions in a business-oriented, diplomatic, approachable, and practical manner., • Should be self-motivated, work proactively and efficiently, and be able to follow through on assigned tasks through completion., • Should be able to work well both independently and within a team in a fast-paced, constantly evolving, and deadline-oriented environment., • Should be able to work well under pressure, manage multiple priorities, and quickly respond to change., • Should be able to connect with, influence, and gain the respect of, senior management, peers, and colleagues across the organization.
