Job DescriptionDescription: POSITION DETAILS: Job Title: Paralegal • Department: Finance, • FLSA CLASSIFICATION: Exempt We are seeking an experienced Paralegal with a strong background in construction and transactional management, with a primary focus on contract review, risk assessment, and contract lifecycle management. This role will support business leadership by reviewing, analyzing, and managing construction-related agreements to ensure compliance, mitigate risk, and protect the company’s interests. The role will also act as a point of contact for COIs, bonding, and specialty endorsements. The ideal candidate is highly detail-oriented, comfortable working with complex contract language, and experienced in identifying legal and commercial risk within construction and development agreements. ESSENTIAL DUTIES AND RESPONSIBILITIES: Contract Review & Risk Management (Primary Focus) • Review and analyze construction contracts, subcontracts, master service agreements, vendor contracts, NDAs, and change orders, • Identify legal, financial, and operational risks and escalate issues to counsel or leadership, • Redline agreements and propose revisions to align with company standards, • Ensure compliance with state and federal construction regulations, • Review indemnification, limitation of liability, insurance, payment terms, dispute resolution, and termination clauses, • Track deviations from standard contract templates and maintain risk logs, • Manage contracts from intake through execution and archiving, • Maintain contract database and ensure accurate version control, • Monitor key dates, renewals, milestones, and notice requirements, • Support negotiations by preparing summaries and risk assessments, • Manage lien waivers, notices of commencement, mechanic’s lien documentation, • Assist with real estate and development transactions, • Support due diligence efforts for acquisitions or financing, • Manage legal caseload for Ironsite, • Conduct and manage internal discovery, • Paralegal certificate from an accredited program or equivalent experience, • Bachelor’s degree preferred, • 3–7+ years of experience reviewing and managing construction or commercial contracts, • Strong familiarity with , Juro, AIA contracts, ConsensusDocs, and custom construction agreements, • Experience working with general contractors, developers, or construction law firms, • Experience with contract lifecycle management (CLM) systems, • Strong Microsoft Word redlining and document comparison skills, • Knowledge of insurance requirements and construction compliance standards, • Exceptional contract analysis skills, • Strong risk identification and mitigation abilities, • Ability to interpret complex legal language, • Highly organized with strong deadline management, • Experience in multi-state construction operations, • Familiarity with state-specific lien laws, • None
