Provide legal counsel to SB Energy’s executive team, board of directors and cross‑functional teams to align corporate governance, securities filings, support growth of the platform, and work interactively with the legal team and other functional teams. This position reports to the General Counsel. • Provide counsel as the company captures emerging opportunities in datacenter and real‑estate development, utility‑scale solar, battery storage and other energy resources, and development and acquisition of new technologies., • Support and manage the company’s SEC reporting process, including periodic filings, Reg FD and Section 16 reporting, Rule 144 filings, etc., • Assist the General Counsel with corporate governance processes, including board and committee meetings, conflicts of interest review, insider trading policies and related party transactions., • Support corporate and project financings – bond facilities, corporate debt, project debt and other structures., • Support, negotiate and review acquisition structures and documentation as the company grows its pipeline and enters new markets., • Research, review, interpret, draft and negotiate securities policies and governance documents such as stockholder agreements, committee charters, board and executive certifications and trainings., • Manage and supervise outside counsel within budgetary constraints; review and approve outside counsel invoices., • Provide counsel on legal issues identified in connection with public company requirements., • JD and strong academic record from a leading law school., • Licensed to practice law in the applicable state of residence., • 5+ years of relevant experience at a major law firm or with a sophisticated in‑house legal department., • Significant experience with securities transactions, SEC reporting and filing, corporate governance and/or corporate finance., • Ability to work independently and as a team member; set priorities and respond to changing demands from multiple sources., • Excellent communication skills (verbal and written); project management skills; ability to negotiate; ability to provide a high level of client service and build consensus across a matrixed client organization., • Ability to interface with all levels of the organization., • Ability to take lead on any responsibilities within the job description, with support from outside counsel and/or other members of the internal legal team. San Francisco Bay Area, San Diego, CA, or Denver, CO. Hybrid. Base Pay - $220,000 - $260,000. The pay range mentioned above is a guideline. We tailor each offer based on your unique skills, experience, location, and market benchmarks—while ensuring internal parity across our teams. In addition to competitive base pay, total compensation may include a discretionary annual bonus and a market leading comprehensive health and wellness benefits package.
