Job DescriptionInvestment Services Associate Attorney Locations: Chicago, IL | New York, NY | Washington, DC Compensation: $260,000–$340,000 + discretionary bonus Direct Counsel is seeking an Investment Services Associate to join the Investment Services Practice of a highly regarded national law firm. This opportunity is ideal for an attorney with 3–5 years of corporate and securities law experience advising registered investment advisers, private investment funds, and asset managers on regulatory, compliance, and transactional matters. The ideal candidate has experience counseling investment advisers and private funds on federal securities laws and is interested in working on sophisticated regulatory and transactional matters involving private equity, venture capital, real estate, and other alternative investment vehicles. Responsibilities • Advise SEC-registered investment advisers and private investment funds on regulatory and compliance matters., • Counsel clients regarding the Investment Advisers Act of 1940, the Investment Company Act of 1940, the Securities Act of 1933, and other federal securities laws., • Assist with the formation, structuring, and ongoing operation of private investment funds, including private equity, venture capital, real estate, and similar investment vehicles., • Support transactional matters involving investment advisers and private funds, including adviser mergers and acquisitions, continuation vehicles, and secondary transactions., • Draft and review fund documentation, regulatory filings, compliance policies, and related corporate documents., • Provide practical legal guidance on governance, regulatory developments, and operational compliance., • Manage multiple sophisticated matters while collaborating closely with partners and clients.Qualifications, • J.D. from an ABA-accredited law school with strong academic credentials., • 3–5 years of corporate and securities law experience at a law firm., • Significant experience advising SEC-registered investment advisers and private investment funds., • Strong knowledge of the Investment Advisers Act of 1940, Investment Company Act of 1940, Securities Act of 1933, and related federal securities regulations., • Experience with transactional matters involving investment advisers or private investment funds, including adviser M&A, continuation vehicles, or secondary transactions, is preferred., • Excellent drafting, analytical, organizational, and communication skills., • Ability to manage multiple matters in a fast-paced, client-focused environment., • Active bar admission, or eligibility for admission, in Illinois, New York, or the District of Columbia.Compensation & Benefits, • Competitive base salary of $260,000–$340,000, based on experience., • Eligibility for a discretionary annual bonus., • Hybrid work environment supporting collaboration and work-life balance., • Comprehensive benefits package including medical, dental, vision, life and disability insurance, 401(k), flexible spending accounts, commuter benefits, wellness programs, backup child and elder care, paid time off, and extensive professional development and mentorship opportunities.
