Job Description Position Details • Position Title: Corporate Paralegal, • Department: Legal — Office of the General Counsel, • Reports To: General Counsel, • Employment Type: Full-Time, Exempt, • Location: On-site / Remote Hybrid, • Industries: Oil & Gas Operations; Family Office & Holdings; Real Estate Position Summary The Corporate Paralegal will serve as the primary support resource for the General Counsel, providing comprehensive legal and administrative support across both oil & gas operations and family office/holdings/real estate matters. This role offers significant responsibility and variety, including entity governance filings, litigation support, contract administration, regulatory compliance tracking, and corporate records management. The ideal candidate thrives in a fast-paced environment, can manage multiple priorities across diverse business units, and brings strong organizational skills with a proactive, solutions-oriented mindset. Essential Duties & ResponsibilitiesCorporate Governance & Entity Management • Maintain corporate records, minute books, and organizational charts for 25+ entities, • Prepare and file annual reports, certificates of formation/amendment, and registered agent filings, • Coordinate management agreements, operating agreements, and LLC resolutions under GC direction, • Track entity compliance calendars and ensure timely filings across multiple jurisdictions (TX, UT, WY, CO, NM, CA), • Coordinate entity dissolution and wind-down processes as needed Litigation Support & Discovery Management, • Manage discovery workflow for active litigation matters, including document production and indexing, • Organize and index trial exhibits, deposition transcripts, and court filings, • Coordinate with outside counsel on scheduling, document production, and billing review, • Maintain litigation hold files and ensure document preservation compliance, • Prepare appellate record compilations and post-trial brief support materials Contract Administration, • Own and maintain the master contract database for all O&G and family entities, • Coordinate and interface with third parties in connection with redlines, revisions and formatting of various commercial agreements including Master Service agreements, Purchase and Sale Agreements, consulting agreements, and Joint Operating Agreements, • Track contract milestones, expiration dates, renewal options, and key obligations, • Coordinate PSA closings and assemble closing binders for acquisitions and divestitures, • Process crude sales contracts, UCC filings, and term sheets Regulatory & Land Management (O&G), • Assist with NOV settlement documentation and regulatory response preparation, • Prepare lease abstracts and maintain lease tracking databases, • Support JIB (Joint Interest Billing) dispute documentation and resolution tracking, • Coordinate BLM leasing documentation and support materials, • Monitor legislative and regulatory updates affecting O&G operations and environmental compliance Human Resources & Administrative Support, • Assist with drafting offer letters, severance agreements, termination documentation, and onboarding materials, • Maintain time reporting and compile monthly hours reports for the General Counsel, • Manage calendar coordination, expense reports, and CLE tracking, • Prepare board and Executive Committee meeting materials, agendas, and presentation decks, • Coordinate HES (Health, Environment, Safety) documentation and compliance filing support Required Qualifications, • Bachelor's degree in Paralegal Studies, Legal Studies, or related field required, • 5+ years of corporate paralegal experience; oil & gas industry experience strongly preferred, • Demonstrated experience managing corporate records for multi-entity structures (LLCs, LPs, holding companies) across multiple states, • Proven experience with contract management and navigating document management systems same or similar to Dynamic Docs / Quorum, • Proven experience with discovery management, document review, deposition coordination, and trial preparation, • Proficiency in drafting, redlining, and managing commercial agreements particularly in the oil and gas industry, • Advanced proficiency in Microsoft Office (Excel, Word, PowerPoint), document management systems, and legal billing software, • Working knowledge of state corporate filing requirements and O&G regulatory frameworks Preferred Qualifications, • ABA-approved paralegal certificate, • Paralegal Certification (CP or RP) from NALA or NFPA, • Experience with UCC filings, secured transactions, and crude oil marketing contracts, • Familiarity with BLM federal leasing processes and land management, • Prior experience supporting HES (Health, Environment, Safety) compliance documentation, • Experience in family office, real estate holdings, or private equity legal operations Key Competencies, • Multi-Entity Coordination — Ability to manage concurrent workstreams across 25+ entities with differing compliance calendars, • Litigation Readiness — Experience supporting active litigation including discovery, depositions, trial prep, and appellate work, • Confidentiality & Discretion — Handling of sensitive family office matters, HR issues, and privileged communications, • Proactive Organization — Independently manage deadlines, filing calendars, and compliance alerts, • Oil & Gas Acumen — Understanding of upstream operations terminology: JIBs, NOVs, PSAs, lease abstracts, BLM processes, • Contract Database Ownership — Demonstrated ability to own and maintain master contract databases, track milestones and renewals, ensure template consistency across entities, and coordinate closing processes for acquisitions and divestitures, • Adaptability — Capacity to shift between O&G operational matters and family holdings/real estate matters within the same day, • Technology Proficiency — Comfort with legal billing systems, document management, and e-filing portals, • Communication — Clear written and verbal communication for drafting agreements and coordinating with outside counsel, • Attention to Detail — Precision in entity filings, contract terms, court deadlines, and corporate records, • Volume Management — Proven ability to handle high-volume workloads with competing priorities Compensation & Benefits, • Competitive base salary commensurate with experience (Min $105,000 annual salary), • Comprehensive benefits package including health, dental, and vision insurance, • 401(k) retirement plan with company match, • Paid time off and holidays, • Professional development support including CLE and continuing education
