Overview of the Role The Paralegal & Corporate Secretariat Support role will provide broad legal and corporate governance assistance across Cloud Capital’s group of entities. The role includes responsibility for managing NDAs, engagement letters, supplier agreements, supporting execution of legal documents, assisting with side letters and other investor documents, and playing a central role in entity management, governance processes, and corporate secretarial oversight. The successful candidate will work closely with European and US Counsel, external legal advisers, tax teams, fund administrators, and other internal stakeholders. This position requires strong organisational skills, attention to detail, and the ability to manage multiple concurrent workstreams. Key Responsibilities 1. Legal Support Non-Disclosure Agreements (NDAs), Engagement Letters, and Supplier Agreements • Prepare, review, and coordinate NDAs, Engagement Letters, and Supplier Agreements, • Maintain a compendium of standard and negotiated side-letter language., • Coordinate and track MFN obligations (with external counsel where required) · Support and track various transactional and asset management workstreams as needed (e.g., deal closings, leasing, operational matters, REIT tax compliance, regulatory inquiries). · Refine and maintain a document management system. 2. Corporate Secretariat Entity Formations & Structuring • Act as the central point of contact for all new entity formations, • Manage formation workstreams, including:, • Working with tax teams to understand proposed structures and tax requirements, • Maintain accurate and up-to-date information for all Cloud Capital entities, including:, • Governing documents, • Board and shareholder actions/consents, • Authorised signatory lists and legal mandates, • Statutory registers, • Ensure Board meetings occur on a timely, scheduled basis for:, • Fund-level entities, • Asset-level entities, • Coordinate with Fund AIFM, asset administrators, and internal teams to:, • Schedule quarterly meetings, • Align timing across stakeholders, • Oversee the tracking and coordination of required corporate state filings (excluding tax filings), • Serve as the main point of contact for KYC/AML requests related to the Cloud Capital structure, • Maintain a clear understanding of the entity structure and ensure consistency in responses, • Understand and manage UBO analyses, including:, • Assessing jurisdiction-specific requirements, • Monitor relevant company-secretarial and entity-management legal developments, • Incorporate new requirements into Cloud Capital policies and procedures (e.g., Corporate Transparency Acts and equivalent jurisdictional regimes) Requirements What we are Looking For • At least 1-2 years experience as a paralegal in a top tier corporate law firm, or in an in-house role, • Experience with funds, joint ventures, and asset management would be an advantage but is not essential, • Excellent communication and relationship-building skills, • High attention to detail with strong organizational abilities, • Strong proficiency in Microsoft Office, • Proactive, resilient and highly motivated with a strong delivery focus, • Ability to juggle multiple priorities in a fast-paced environment, • Professional discretion when handling confidential information, • A collaborative team player with a strong desire to learn and develop within talent acquisition, • Central London office location, • Competitive salary, plus bonus & additional benefits (life cover, private medical), • 25 days holiday plus bank holidays
