OVERVIEW: A&A is seeking an experienced attorney licensed in the State of Florida to serve as Corporate Counsel at our Dallas location. This role is critical to overseeing legal matters related to employment, operations, and field-based risk. The attorney will serve as the company’s primary legal representative within the state and act as the internal lead on litigation-related matters, including internal investigations, legal strategy, and coordination with outside counsel. Although this position does not require courtroom trial representation, it does demand a high level of litigation oversight. The ideal candidate must be prepared to engage in court proceedings such as hearings, mediations, and settlement conferences. The goal is to resolve matters early through sound legal guidance, document control, and risk mitigation. The attorney will also support A&A’s leadership by interpreting contract terms, identifying potential exposure, and recommending legal strategies in alignment with business objectives. The Corporate Counsel will work closely with Human Resources, Risk, Operations, and other internal departments to ensure documentation is aligned with legal needs, responses are timely, and matters are resolved strategically. This role is suited for a hands-on attorney who is detail-oriented, practical in approach, and comfortable managing multiple active and pending cases at once. AREAS OF FOCUS INCLUDE: · Employment and Liability Law: o Oversight of claims involving workplace incidents, wage disputes, negligent supervision, or field-based liability exposure. · Litigation and Pre-Trial Coordination: o Engagement in hearings, mediations, and pre-trial matters while collaborating with outside counsel to ensure effective case development and resolution. · Contractual Review and Enforcement: o Interpretation of key contract provisions involving indemnification, insurance, and liability. Support for subcontractor and vendor risk assessments. · Internal Investigations and Claims Response: o Guidance on document collection, fact development, internal case summaries, and response protocols following formal notices or incidents. · Cross Departmental Collaboration: o Ongoing coordination with HR, Operations, and Payroll to implement legally sound practices, safeguard internal records, and mitigate organizational risk. · Legal Infrastructure Support: o Maintenance of litigation calendars, response timelines, internal legal summaries, and support for legal operations in other states through reciprocity or additional licensing. CLAIMS AND LITIGATION OVERSIGHT · Serve as the lead internal attorney overseeing all active litigation, threatened claims, and demand letters · Coordinate responses to wage and hour claims, including FLSA lawsuits, unpaid tip allegations, and misclassification matters · Support legal strategy for negligence-based claims tied to security guard or event staffing operations · Issue, review, or respond to tenders of defense, indemnification clauses, and contractual legal obligations involving third-party clients · Serve as the internal case owner coordinating with defense counsel and insurers on all filings, pleadings, depositions, or settlement efforts · Prepare internal summaries, liability assessments, timelines, declarations, and factual responses based on case developments · Collaborate with outside counsel on document production, discovery coordination, and pre-trial logistics COURT APPEARANCES AND LEGAL REPRESENTATION · Appear on behalf of A&A at local hearings, mediations, or scheduling conferences when required · Represent A&A in pre-trial and administrative proceedings, including sworn statements, preliminary hearings, or settlement conferences · Prepare internal personnel or executives for sworn testimony, affidavits, or declarations where needed OPERATIONAL RISK AND CONTRACT SUPPORT · Advise leadership on claims risk, legal exposure, and appropriate documentation protocols following incidents or demand letters · Review subcontractor agreements, staffing contracts, and vendor terms to flag high-risk clauses, indemnity pitfalls, or exposure scenarios · Work closely with HR, Payroll, Risk, and Operations to collect documentation, validate facts, and implement case response workflows · Maintain accurate and accessible legal archives, including pleadings, agreements, indemnification logs, and resolution tracking INTERNAL LEGAL INFRASTRUCTURE · Create and maintain a legal calendar of all cases, hearings, discovery deadlines, and response obligations · Provide weekly updates to senior leadership regarding high-priority matters, including recommended actions or timelines · Draft internal position summaries, legal correspondence, or statement-of-fact narratives to support outside counsel and executives · Develop internal protocols to improve litigation readiness, compliance, and legal risk posture MINIMUM QUALIFICATIONS: · Juris Doctor (JD) from an accredited law school · Licensed and in good standing with the State Bar of Florida · 1-3 years of experience in employment litigation, commercial liability, or claims-based legal work · Ability to appear in Florida state and county courts for hearings and non-trial matters · Clear and professional verbal and written communication skills, especially in explaining legal positions to non-attorneys · Organized and proactive with the ability to track and manage numerous cases, counsel interactions, and response timelines PREFERRED QUALIFICATIONS: · Previous in-house experience or experience advising high-volume, high-risk operational businesses such as staffing agencies, event firms, or government contractors · Strong familiarity with FLSA, indemnity enforcement, security-related negligence claims, and public venue liability exposure · Prior experience coordinating tenders of defense or enforcing indemnification rights in staffing or subcontractor relationships · Familiarity with negligence claims involving onsite injuries, venue security, or event-related incidents · Knowledge of vendor contracts with municipal or state clients, including risk management protocols, insurance notifications, and claims resolution · Experience conducting or overseeing internal investigations and coordinating sworn statements · Familiarity with HR processes, field reporting, and workplace documentation as it relates to defending claims COMPENSATION: Annual salary range of $85,000 to $100,000, commensurate with experience and qualifications.
