About the Company A leading global alternative investment manager specializing in credit strategies is seeking a Funds Counsel to join its in-house Legal and Compliance team. The firm manages tens of billions of dollars in assets across a diversified platform that includes direct lending, capital solutions, special situations, liquid credit, and real estate related strategies. About the Role The Funds Counsel will be part of the firm’s Legal and Compliance function, supporting the investment management business with a primary focus on fund formation, capital raising, and investor-related matters. The role sits within a dedicated fund legal team responsible for structuring and launching investment products and supporting global marketing and distribution activities. Key responsibilities include: • Provide legal support for fund formation, capital raising, and global distribution across a range of products, including private funds, business development companies, rated feeder vehicles, interval funds, and evergreen structures, across multiple jurisdictions (e.g., U.S. and offshore)., • Draft, review, and negotiate fund documentation, including offering documents, limited partnership agreements, subscription materials, side letters, and related investor agreements., • Advise on structuring and launch of new investment products, including coordination with internal stakeholders and external service providers., • Support investor relations and marketing teams by reviewing marketing materials, investor DDQs, RFPs, and periodic investor communications., • Advise on global marketing and regulatory regimes, including private placement frameworks and cross-border distribution considerations., • Provide legal support for ongoing fund operations, regulatory compliance, and general corporate matters relating to the funds business., • Oversee and manage external counsel across jurisdictions and product types., • Act as a lead in-house legal resource on product launches and complex fund-related initiatives. Qualifications • Juris Doctor (JD) and admission to a U.S. state bar in good standing., • Approximately 8–12 years of experience, including time at a top law firm and/or in-house at an alternative investment manager or financial institution., • Strong background in investment management, fund formation, and private funds; experience with registered products or 1940 Act structures is a plus., • Demonstrated ability to manage complex matters independently and serve as a primary legal advisor on fund launches., • Excellent drafting, analytical, and communication skills with strong attention to detail., • Ability to operate effectively in a fast-paced, high-expectation environment while managing multiple priorities., • Professional judgment, discretion, and integrity in handling confidential and sensitive information., • Self-starter with strong organizational skills and the ability to collaborate across legal, compliance, investment, and commercial teams.
