We are seeking an Associate Attorney with experience in handling Labor & Employment matters to join our growing Providence, Rhode Island location. The ideal candidate has at least 3 years’ experience. The individual will maintain positive contact with clients, observe confidentiality of client matters, and must be team-oriented. Actual base pay within the range will also be dependent on other factors, including but not limited to, relevant experience, internal equity, skills, qualifications, and other job-related factors permitted by law. FMG’s Labor and Employment Law Section attorneys are nationally recognized and have defended employment claims in more than 45 states for all types of public and private employers. We provide employers with practical and sound preventative advice. Our attorneys help clients develop policies and practices that reduce the risk of future litigation. Responsibilities: · Provide initial analysis and develop case strategy · Prepare and respond to discovery · Take and defend depositions, draft motions and attend hearings · Explain legal options to clients and bringing possible outcomes or threats to their attention. · Build relationships with clients · Ability to negotiate, research, and communicate verbally and in writing effectively. Requirements: · Juris Doctor degree from an American Bar Association accredited law school. · In good standing and able to practice law in the state of Rhode Island. · Strong critical thinking skills and solid academic background. · Strong sense of urgency about problem solving, meeting deadlines and achieving goals · Knowledgeable, attentive, and proactive. · Excellent communicator, negotiator, public speaker, and problem solver. · Self-motivated, and goal oriented with a track record of meeting billable hours goals. · Inclined to take initiative and work independently with minimal supervision. · Detail oriented, organized and effective. · Professional and can get along with people; communicates well with staff. · Computer skills: Microsoft Word and Outlook. · Experience with iManage and/or OneDrive a plus. As a Real Estate Paralegal, you will play a pivotal role in supporting our legal team with transactions, including but not limited to document drafting, maintaining transactional files and information, and coordinating the closure of corporate and real estate transactions. Primary Responsibilities • Draft and review real estate transaction documents, including closing checklists, Draft and review real estate purchase and sale agreements (primarily commercial), lease agreements, and closing documents related to real estate, including closing statements., • Draft term sheets/commitment letters on behalf of lender clients, as well as loan/modification documents (e.g., notes, mortgages, guaranties, and security agreements)., • Preparation and filing of UCC financing statements, amendments, and terminations., • Filing of recordable documents in various State and County recording offices., • Conduct and analyze legal and factual research related to real estate transactions., • Title commitment and title policy review (including exception documents and endorsements), survey review, and general due diligence review (e.g., UCC and other search results) including summarizing issues and concerns for attorney consideration., • Resolve title and survey issues as required., • Secure UCC, judgment, lien, and pending litigation searches., • File Bulk Sale Notices in connection with asset and commercial real estate transactions and secure tax clearance certificates., • Download, organize, and inventory due diligence documentation from client-provided data sites., • Maintain checklists for loans, real estate, asset, and stock transactions., • Manage preparation, assembly, and compilation of documents in advance of closing and coordinating signature page gathering directly with client, opposing counsel and other third parties., • Coordinate with opposing counsel, title companies, local counsel, and client representatives in all aspects of transactions., • Preparation of closing binders related to transactions, • Maintain and organize files, ensuring accurate and timely filing of documents with appropriate authorities., • Ability to communicate professionally and interact effectively with all levels of personnel., • Eight years of experience with commercial real estate transactions and closings including title and financing, lien searches and tax clearance, Some AIA context experience a plus., • Excellent client service skills and ability to work on multiple matters simultaneously in an organized manner and under minimal supervision., • Flexibility and ability to respond quickly and positively to shifting demands., • Bachelor's degree or paralegal certificate from an ABA-approved Program, • Minimum of eight years of experience as a paralegal at a law firm, professional services firm, or corporation, • Proficiency in Windows-based software and Microsoft Office Suite, including Word, PowerPoint, Excel, and Outlook, • Exceptional computer skills with the ability to learn new software applications quickly.
