Job Details Key Responsibilities: Advise life sciences companies and healthcare investment funds on a range of corporate and securities transactions Manage public capital markets matters, including IPOs, follow-on offerings, and ATM programs Handle private offerings, including PIPEs and venture capital financings Prepare and review ’34 Act reporting (10-K, 10-Q, 8-K) and other public company disclosures Support public and private M&A transactions, including structured deals such as earnouts, carve-outs, spin-outs, and product acquisitions Deliver practical, strategic advice to clients, anticipating risks and identifying actionable solutions Collaborate with senior attorneys across offices on high-value transactional matters Maintain strong communication with clients, providing timely updates and guidance Stay current on legal developments in the life sciences and capital markets sectors Qualifications: Juris Doctor from an accredited law school Admission to the California Bar, or eligibility to obtain admission promptly 2–6 years of relevant experience (class years 2018–2022 preferred) Strong background in corporate transactions for life sciences companies and/or healthcare investment funds Experience in capital markets, private equity/venture financings, and M&A Excellent drafting, negotiation, and written communication skills Ability to manage multiple matters, deadlines, and client priorities High level of professionalism, judgment, and client service Interested in hearing more?
