Job Description Palisades is seeking a Vice President to join its Transaction Management team. This is a senior, execution-focused role responsible for the planning, coordination, and execution of firm-wide transaction activity across loan acquisitions, sales, financings, and securitizations. The Vice President will own the transaction lifecycle from trade acceptance through settlement and post-closing, with direct accountability for timelines, data integrity, contract execution, and revenue realization. The role sits at the center of the firm’s investment and capital markets activity and requires the ability to independently drive complex transactions, manage counterparties, and ensure alignment across internal teams. This is a cross-functional leadership role interfacing with and overseeing multiple teams, communicating effectively with clients and counterparties, and providing transparency into the business to internal and external stakeholders. ESSENTIAL DUTIES · Own end-to-end execution of residential mortgage loan transactions (buy-side, sell-side, financing, and securitizations) from trade acceptance through settlement and post-close reconciliation · Manage transaction timelines by identifying, tracking, and driving key milestones and deliverables required to meet closing objectives · Lead coordination and execution of transaction documentation, including: o Mortgage Loan Purchase Agreements (MLPAs) o Non-Disclosure Agreements (NDAs) o Interim Servicing Agreements (ISAs) o Trade confirmations, bid stipulations, and custodial / bailee agreements · Review and negotiate transaction terms and bid stipulations in coordination with internal stakeholders and legal counsel · Ensure proper counterparty onboarding, vetting, and internal approvals are completed prior to execution · Coordinate due diligence workflows with third-party diligence providers, internal personnel, clients, and external escalation contacts; track exceptions, stipulations, and resolutions through closing · Oversee preparation, validation, and delivery of collateral tapes, loan files, and data submissions; ensure consistency across diligence, structuring, and settlement · Reconcile final funding populations, validate repricing mechanics, and oversee settlement cash flows, funding schedules, and closing documentation · Coordinate all settlement activity, including internal and external communications related to the transfer of funds and collateral · Ensure financing and securitization requirements are addressed across transactions, including coordination with dealers, underwriters, rating agencies, trustees, and custodians · Oversee transfer of servicing and servicing rights and ensure accurate loan boarding and data integrity post-acquisition · Perform post-settlement reconciliation and manage resolution of discrepancies with counterparties in accordance with transaction agreements · Track and resolve post-closing obligations, including breach claims, repurchase requests, and other contractual liabilities · Act as the central point of coordination across Asset Management, Capital Markets, and Finance & Accounting to ensure alignment on transaction status, economics, and reporting · Oversee transaction-related invoicing, ensuring accuracy and alignment with deal milestones, contractual terms, and pull-through assumptions · Maintain and enhance pipeline tracking, including expected settlement timing and revenue realization forecasting · Identify operational risks and inefficiencies within transaction workflows; implement process improvements, standardization, and automation where appropriate · Project manage technology initiatives and vendor onboarding for enhancing workflows and streamlining processes · Build and maintain relationships with originators, servicers, diligence providers, and trading counterparties MINIMUM REQUIREMENTS · 5–10+ years of experience in residential mortgage finance, structured credit, or securitization execution · Direct experience managing whole loan transactions across the full lifecycle (pre-bid through settlement and post-close) · Strong working knowledge of: o Mortgage Loan Purchase Agreements (MLPAs), Interim Servicing Agreements (ISAs), and related transaction documentation o Residential Mortgage-Backed Securities (RMBS) and structured finance execution o Loan-level data, collateral tapes, and servicing transfer processes · Experience negotiating transaction terms and managing legal and counterparty coordination · Strong understanding of settlement mechanics, funding flows, and post-closing reconciliation · Advanced proficiency in Microsoft Excel; ability to operate effectively in data-intensive, process-driven environments · Experience with SQL (MS SQL Server Management Studio) and Python (VS Code, Anaconda) a plus · Experience working cross-functionally with Finance & Accounting on invoicing, cash tracking, and revenue recognition · Ability to manage multiple transactions simultaneously in a fast-paced environment with tight and shifting deadlines · Strong organizational, analytical, and problem-solving skills with high attention to detail · Effective communication and leadership skills and ability to operate with credibility across direct reports, internal teams, management, and external counterparties · Education: Bachelor’s degree in Finance, Accounting, Economics, or a related field from a top undergraduate program required.
