Position Summary Microvast is seeking an experienced and strategic Associate General Counsel to support in all legal and compliance functions. This executive role is responsible for overseeing corporate governance, managing legal risk across global operations, and advising company management on complex transactions and regulatory obligations. The Associate General Counsel will serve as a critical business partner to senior management and will guide legal matters across all subsidiaries and jurisdictions in which Microvast operates. The role will be reporting to General Counsel of the Company. Responsibilities • Legal Strategy & Oversight, • Support on all legal matters affecting the Company, including commercial, corporate, securities, regulatory, intellectual property, employment, and litigation., • Advise on strategic initiatives, transactions, and business risks., • Serve as assistant to the Corporate Secretary of the Board on governance, disclosure, and fiduciary responsibilities., • Establish, implement, and continuously improve legal and compliance policies and procedures to ensure companywide risk mitigation., • Transactional Leadership, • Structure, negotiate, and draft key contracts, including joint ventures, licensing, technology development, commercial supply, and M&A transactions., • Support global contract lifecycle management and oversee standard contract templates and delegation of authority., • Compliance & Regulatory Affairs, • Ensure compliance with applicable laws and regulations, including SEC, Nasdaq, SOX 404, export control, and international trade laws., • Support on compliance with public company disclosure obligations in coordination with Investor Relations and Finance., • Manage ethics and compliance training and reporting programs., • Litigation Management, • Support in overseeing all the actual and potential litigation and disputes involving the Company., • Work closely with external counsel to ensure effective representation while controlling legal spending., • Cross-functional & Global Collaboration, • Collaborate with internal stakeholders in Engineering, Operations, R&D, HR, and Finance to provide day-to-day legal counsel., • Develop strong relationships with international subsidiaries to align legal support and corporate standards across jurisdictions., • External Counsel Management, • Manage, and evaluate external legal counsel to ensure high-quality and cost-effective legal representation., • J.D. from an accredited law school with strong academic credentials., • Licensed and in good standing with at least one U.S. state bar (Texas preferred or eligibility for admission)., • Minimum 12 years of experience, including a combination of top-tier law firm and in-house corporate legal department experience., • Minimum 7 years in publicly traded companies functioning in similar role, • Proven expertise in corporate, commercial, and regulatory law; experience in energy, manufacturing, battery technology, or related sectors strongly preferred., • Demonstrated experience managing legal aspects of public company obligations, SEC compliance, and international transactions., • High level of business acumen, strong negotiation skills, and ability to handle complex cross-functional initiatives with minimal supervision., • Strong interpersonal and communication skills; ability to influence and collaborate across levels and functions., • Experience leading legal compliance and policy development in a global organization., • Demonstrated “roll up your sleeves” approach — a hands-on leader who is comfortable drafting documents, handling day-to-day legal tasks, and operating without reliance on a large legal team., • Familiarity with intellectual property management in a high-tech manufacturing context., • Ability to thrive in a fast-paced, global, and matrixed organization. The expected salary for this position, at commencement of employment, is between $175,000 and $225,000/Annual; however, base pay offered may vary depending on multiple individualized factors, including market location, job-related knowledge, skills, and experience. The total compensation package for this position may also include other elements such as annual bonus, equity, in addition to a full range of medical, dental, vision, life, financial, and/or other benefits (including 401(k) eligibility and various paid time off benefits, such as vacation, sick time, and parental leave), dependent on the position offered.
