We are seeking a highly motivated, business-oriented Associate Counsel to join our in-house legal team in Denver, Colorado. This is a full-time, in-office role within a fast-paced, high-performance environment that requires a versatile legal professional with broad generalist knowledge across multiple practice areas and industries. The ideal candidate will bring strong drafting skills, litigation experience, healthcare law knowledge, and practical business acumen to support a diverse portfolio of operations. The successful candidate must be comfortable managing multiple complex matters simultaneously while maintaining attention to detail and exercising sound legal and business judgment. This role will report to, work closely with and support the Chief Legal Officer in advising leadership and driving strategic legal initiatives across the organization. Duties & Responsibilities • Support the Chief Legal Officer in managing and supporting the Company’s legal affairs across multiple business lines and industries., • Provide day-to-day legal counsel to executive leadership and operational teams across diverse business lines., • Support various internal teams operating in multiple industries, providing practical and timely legal guidance tailored to business objectives., • Draft, review, and negotiate a wide range of commercial agreements, including vendor, customer, services, NDAs, MSAs, financing, and partnership contracts., • Conduct legal and regulatory compliance analysis and research relating to various industries, including but not limited to healthcare and medical devices., • Advise on healthcare regulatory matters, risk management, and compliance initiatives., • Support corporate, finance, and strategic matters, including governance, entity management, acquisitions, dispositions, financings, and other complex business arrangements., • Provide legal guidance related to oil and gas drilling operations and related commercial matters., • Support real estate transactions, including acquisitions, leasing, development, and financing., • Manage corporate governance and entity administration matters, including entity formation and maintenance, board and shareholder documentation, organizational compliance, and UCC filings and related secured transaction documentation., • Identify legal risks and develop practical, business-focused solutions that align with organizational objectives. Minimum Qualification • 4-5+ years of relevant legal experience in private and/or in-house., • Juris Doctor (J.D.) from accredited law school and an active license and in good standing in at least one US state bar (CO preferred)., • Litigation experience, including managing or supporting active matters., • Extremely proficient with Microsoft Word, PowerPoint, Excel Preferred Qualifications • Knowledge of healthcare law and healthcare regulatory frameworks., • Familiarity with medical device regulatory considerations., • Experience advising multi-industry or diversified business operations., • Strategic thinker with the ability to balance legal risk with business objectives., • Knowledge of privacy, data protection, and related legal compliance matters Key Attributes • Driven, organized, and have the proven ability to function in a high-paced environment, with the experience and expertise in providing support to diverse legal issues., • Excellent written, verbal, and interpersonal communication skills with an acute ability to listen attentively and to communicate effectively throughout all levels of the organization, • Strong drafting, negotiation, and contract management skills, and excellent analytical, research, and problem-solving abilities., • Practical business judgment and solution-oriented mindset., • Desire to be hands on and into the details of all aspects of the business, • An eagerness for working and learning in a very fast-paced and dynamic environment., • Ability to work independently while contributing collaboratively within a high-performing team. Location: Onsite in the office Travel: Position may require a minimal amount of travel via airplane, car, and overnight stays Compensation: Disclosure as required by Colorado law, the annual salary range for this position is $125,000-$150,000. The actual compensation may vary based on work experience, certifications, education and skill level. This salary range is Republic’s good faith belief at the time of this posting.
