Job Description Overview: Cope Equities is a real estate development and investment company raising capital through private placements. We are seeking a paralegal-level professional to oversee subscription agreements, investor compliance documentation, and closing processes. This role will ensure our offerings and investor files are accurate, complete, and consistent with legal and regulatory requirements. Responsibilities: · Draft, track, and review subscription agreements and offering documents · Collect and validate investor accreditation, KYC/AML, W-9s, and wire instructions · Maintain legal records, compliance logs, and version control for offering materials · Manage and maintain detailed closing checklists and timelines · Maintain organized electronic files and transaction records · Work with legal counsel to prepare and file SEC and other regulatory documents · Research and file Blue Sky and state securities law reports · Manage investor closings, capital calls, and related documentation · Review and summarize offering documents, governance materials, financial statements, and disclosure schedules · Ensure document retention policies are followed and audit-ready · Ensure all transactional documents and exhibits are prepared for timely closings · Assist principals with ad-hoc legal research and compliance support · This role will report to the Director of Investor Relations but will also work closely with other team members as part of our collaborative, cross-functional environment Qualifications: · Graduate with 3+ years of experience as a Legal Assistant at a Texas Law Firm supporting real estate and lending transactions · Paralegal certification preferred but not required · Familiarity with Reg D, securities filings, or private placement processes · Microsoft Office Suite · Proficiency in Adobe Acrobat for document creation, edition, and management · Excellent organizational and project management skills with strong attention to detail · Clear and professional communication skills, both written and verbal · Self-starter with a proactive approach and the ability to work independently · Maintains discretion and professionalism in handling confidential client matters · Flexible and composed under pressure with a positive, solution-oriented mindset · Strong organizational and document management skills · High attention to detail, confidentiality, and compliance mindset Salary and benefits are negotiable based on experience, training and performance.
