Headquartered in Charlotte, we operate on a flexible hybrid schedule which entails three days in the office each week and two days working remotely. About the Role This newly created Commercial Contract Specialist role reports to the General Counsel and elevates the Legal function by bringing structure, clarity, and momentum to every matter. Through disciplined intake, precise document preparation, thoughtful contract progression to signature, and decision-ready materials, the role shortens timelines and raises the quality of outcomes while helping shape the tools and processes that underpin Legal operations. Working most closely with the General Counsel and interfacing with Finance and Asset Management, it aligns input, coordinates transactions, and maintains clear records that withstand investor and diligence scrutiny. The impact is tangible: greater capacity to move more opportunities forward at once, smoother paths from term sheet to close, and a confident cadence of execution that supports ClearGen’s ability to deploy capital and advance the energy transition. Responsibilities • Support the General Counsel by managing the flow of legal work from intake through execution and filing, ensuring matters are organized, accurate, and delivered on time., • Manage the full contract lifecycle for commercial agreements and nondisclosure agreements, including intake, drafting and refinement, coordination of redlines, routing for review and signature, tracking post-signature obligations and renewals, and preparing decision-ready materials with clean version control and resolved stakeholder questions., • Maintain organized legal records in SharePoint with clear structure, naming, permissions, and audit trails, and maintain centralized trackers and calendars for filings, renewals, permits, and contractual milestones with timely reminders and escalation when needed., • Support transactions and project finance from term sheet through close by coordinating diligence checklists, assembling closing sets, preparing signature and deliverables packets, managing data rooms, and conducting targeted research relevant to contracts, transactions, and regulatory obligations., • Regularly report the status of active matters, contracts, and upcoming deadlines to keep the General Counsel and internal stakeholders informed and aligned., • May assist with maintaining corporate records and coordinating required entity filings across various jurisdictions., • Review and process invoices from external counsel and other service providers for accuracy, completeness, and alignment with engagement terms, resolving discrepancies as needed before submitting for approval., • Identify opportunities to introduce technology and process improvements, pilot and implement tools such as electronic signature, contract lifecycle management, and electronic billing, and provide user training and standard operating procedures. Desired Qualifications • A certificate in paralegal studies from an ABA-approved North Carolina program is preferred; however, a bachelor’s degree combined with a paralegal certificate from an accredited institution will also be considered., • Experience with automated digital solutions is preferred, including large language models or other artificial intelligence tools., • One to three years of paralegal experience is required, with preference for candidates who have worked in industries such as energy, corporate finance, structured finance, capital markets, or construction., • Adept at providing contract support, including reviewing and proofreading documents, preparing drafts, coordinating reviews, routing for signature, and maintaining accurate records., • Exceptional attention to detail and a consistent commitment to accuracy., • Demonstrated flexibility and organizational skills to manage numerous and sometimes competing responsibilities of varying urgency and criticality within a fast-paced work environment., • Proficiency with Microsoft Word, Excel, PowerPoint, and SharePoint, and comfort learning additional legal and workflow tools., • Strong interpersonal presence marked by professionalism, tact, and collaboration, with the ability to build trust, communicate clearly and discreetly, and work effectively across functions and levels., • Strong organizational skills with the ability to manage multiple matters, set priorities, and meet deadlines., • Excited to be part of the energy transition. Location/Schedule We are headquartered in Ballantyne, Charlotte, North Carolina, and operate in a hybrid work model with in-office collaboration on Mondays, Tuesdays, and Thursdays, and occasional additional days as needed to support business activities. Travel Travel for this role is negligible. Occasional local travel may be required for events, seminars, meetings, or courier-related tasks.
