Based in the New York office, this role serves as a central control point for board process, governance execution, and regulatory coordination, ensuring the Company meets its obligations as a dual-listed public issuer while supporting efficient, high-quality decision-making at the Board and executive levels. This is a hands-on, operational leadership role with direct exposure to the Board, CEO, SLT, investors, and regulators. Key Reponsibilities Corporate Secretary Responsibilities Board & Executive Governance (Primary Accountability) • Serve as Corporate Secretary to Bitfarms and designated subsidiaries., • Own the end-to-end execution of Board and committee meetings (Board, Audit, Compensation, Governance), including:, • Annual calendars and forward agendas., • Materials coordination with SLT and external advisors., • Drafting, reviewing, and finalizing minutes, resolutions, and written consents., • Tracking actions, decisions, and follow-ups., • Act as a trusted governance advisor to the Chair, committee chairs, CEO, and General Counsel., • Lead corporate governance and disclosure support related to:, • Proxy statements (U.S. and Canada)., • Annual and special meetings of shareholders., • Governance sections of Form 10-K, 20-F (if applicable), 6-K, AIF, and MD&A., • Ensure compliance with:, • NASDAQ listing rules., • TSX corporate governance requirements.SEC disclosure and governance obligations. Governance Framework & Policy Ownership • Own and maintain Bitfarms' governance architecture, including:, • Articles/bylaws., • Board and committee charters., • Corporate governance guidelines., • Delegation of authority framework., • Lead annual board and committee evaluations, director onboarding, and continuing education., • Support governance execution for:, • M&A, financings, restructurings, and capital markets activity., • Equity issuances, shareholder approvals, and strategic initiatives, • Operate as a senior partner to the Company executive team., • Manage external advisors on governance matters, including outside counsel, proxy advisors, and governance consultants., • Serve as a key governance interface with shareholders and proxy advisory firms when required. What We Are Looking For • 10+ years of experience in corporate governance, securities law, or corporate secretarial roles within a public company environment., • Direct experience supporting Boards of Directors of NASDAQ-listed companies; TSX or dual-listed experience strongly preferred., • Deep working knowledge of:, • SEC disclosure and governance requirements., • NASDAQ and TSX listing standards., • Highly operational, detail-driven, and execution-focused, with strong business judgment., • Exceptional written and verbal communication skills; confident interacting with directors, executives, and external stakeholders., • Operates with C-level judgment, discretion, and accountability., • Expected to anticipate issues, not just respond to them, and to raise governance risks proactively.
